ARTICLE 6 <br />INDEPENDENT CONTRACTOR STATUS <br />6.01 Licensee is an independent contractor and not a City employee. Licensee's employees or <br />subcontractors are not City employees. This License Agreement does not create a <br />partnership or joint venture relationship. Neither party has authority to enter into <br />contracts as agent for the other party unless otherwise authorized in writing under a <br />separate agreement. <br />ARTICLE 7 <br />INDEMNIFICATION <br />7.01 Licensee agrees to hold harmless, defend, and indemnify City for and from all losses, and <br />claims, demands, causes of action and damages (including reasonable attorney fees, <br />expert fees, and court costs) caused by or arising out of the use of any Licensed Mark or <br />workmanship, material or design of any Licensed Produce or Service, including without <br />limitation claims or actions for product liability, patent, or copyright infringement. <br />ARTICLE 8 <br />NOTICES <br />8.01 All notices and other communications in connection with this License Agreement shall be in <br />writing and shall be considered given as follows: <br />(A) When delivered personally to the recipient's address as stated in this License <br />Agreement; or <br />(B) Three (3) days after being deposited in the United States mail, with postage prepaid <br />to the recipient's address as stated in this License Agreement. <br />Notice to Licensee: <br />Notice to City: <br />City of San Marcos AND TO: City of San Marcos <br />Attention: City Manager Attention: City Attorney <br />630 E.
