ATTACHMENT B <br />Annual Maintenance Services Plan <br />The Vendor will begin the provision of maintenance services on the date of the City's Website <br />launch unless otherwise requested by the City and agreed to by the Vendor and will remain in <br />full force and effect for a period of one year as described below. Free maintenance hours, if any, <br />provided for in the Web Redesign and Content Management System Terms and Conditions will <br />be utilized prior to drawing upon hours provided under this agreement. <br />A. SCOPE OF SERVICES <br />1. Vendor agrees to perform website Maintenance in accordance with the attached Service <br />Level Agreement ( "SLA ") included as Exhibit I to this Attachment A. Maintenance beyond five <br />(5) hours per month is optional and considered additional services as described in Section 1.4 of <br />the Agreement. Any unused hours in a given month will be applied to the following month <br />( "Surplus Hours "). In the event there are Surplus Hours at the end of twelve months, Vendor <br />will allow the City to apply these hours to website component development, provided that: <br />a. Vendor has been paid in full, and on time each month; <br />b. Any work to utilize Surplus Hours is requested by the City prior to the end of the <br />thirteenth month, and <br />C. Work requested by the City can be reasonably completed by Vendor by the end of <br />the fourteenth month. <br />In the event that the conditions of 3 a, b, and c above are not fulfilled then all Surplus Hours are <br />forfeited. <br />2. Discounts: <br />a) Purchase of Interactive Components: City may use the value of the maintenance <br />hours referenced in Section 2 of this Agreement as a credit toward the purchase of certain <br />Interactive Components designated by Vendor ( "Qualifying Components "). Further, City <br />will receive a ten percent (10 %) discount on all Qualifying Components. <br />b) Partner Discounts: From time to time Contractor may make available third party <br />products and services. Client may be offered discounts on such products and services <br />during the term of this Agreement. Client may not use the value of the maintenance <br />hours toward Partner products and services. <br />3. Client understands that Vendor will perform maintenance to be compatible with existing <br />Client Website utilizing the Vision Internet Content Management Tool. <br />39 <br />Web Redesign and Content Management System <br />
