RESOLUTION NO. 2002- 1 qO R A RESOLUTION OF THE CITY COUNCIL OF THE CITY OF SAN MARCOS, TEXAS, APPROVING A REVISED LETTER AGREEMENT FOR THE RENEWAL OF AN ADVERTISING PROGRAM AGREEMENT BETWEEN THE CITY, TANGER PROPERTIES LIMITED PARTNERSHIP AND SAN MARCOS FACTORY STORES, LTD.; AUTHORIZING THE CITY MANAGER TO SIGN A LETTER AGREEMENT FOR THE RENEWAL; AND DECLARING AN EFFECTIVE DATE. RECITALS: 1. Tanger Properties Limited Partnership ("Tanger") is the owner and operator of the Tanger Factory Outlet Center at San Marcos, and Prime Retail, L.P. ("Prime") is the owner and operator of Prime Outlets San Marcos. 2. In order to ensure the continued success of the San Marcos outlet mall area, and to enhance revenue to the City from retail business and tourism activity, the City, Prime and Tanger wish to renew their agreement dated February 12, 2002 (the "Agreement") for a joint advertising program during the 2002-2003 fiscal year of the City. 3. The City Council approved a letter agreement to renew the Agreement in a resolution adopted on September 23,2002. Prime has requested certain changes to this letter agreement, and the City Council wishes to approve the revised version of the letter agreement. BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF SAN MARCOS. TEXAS: P ART 1. The attached revised letter agreement for the renewal of the Agreement for the City's 2002-2003 fiscal year is approved. PART 2. The City Manager, Dan O'Leary, is authorized to execute the attached revised letter agreement to renew the Agreement on behalf of the City. PART 3.
