<br />62. <br /> <br />RESOLUTION 2001- 37 R <br /> <br />A REsOLUTION OF THE CITY COUNCIL OF THE CITY OF <br />SAN MARCOS, TEXAS, APPROVING THE TERMS AND <br />CONDITIONS OF AN AMENDED AND RESTATED <br />ADVERTISING PROGRAM AGREEMENT BETWEEN THE <br />CITY, TANGER PROPERTIES LIMITED PARTNERSHIP AND <br />PRIME RETAIL, L.P. FOR A JOINT ADVERTISING PROGRAM; <br />AUTHORIZING THE CITY MANAGER TO EXECUTE THE <br />AGREEMENT ON BEHALF OF THE CITY AND DECLARING <br />AN EFFECTIVE DATE. <br /> <br />RECITALS: <br /> <br />1. Tanger Properties Limited Partnership ("Tanger") is the owner and operator of the Tanger <br />Factory Outlet Center in San Marcos, Texas (the ''Tanger Outlet Center"). Prime Retail, L.P. is the <br />owner and operator of Prime Outlets San Marcos in San Marcos, Texas (the "Prime Outlet Center"). <br />The City derives significant revenues from retail business and tourism activity in the City. Tanger <br />has professional staffto develop and implement a marketing program for the Tanger Outlet Center, <br />the Prime Outlet Center and the San Marcos area. <br /> <br />2. In order to ensure the continued success of the San Marcos outlet mall area, and to <br />enhance revenue to the City from retail business and tourism activity, the City and Tanger executed <br />an agreement dated August 28, 2000 (the "Agreement") under which the City agreed to use the <br />professional services and resources of Tanger to facilitate an advertising program during the 2000- <br />2001 fiscal year of the City. <br /> <br />3. Prime has requested an amendment to the Agreement to provide for Prime to participate <br />in the advertising program. <br /> <br />BE IT RESOLVED BY THE CITY COUNCIL OF THE CITY OF SA1"\J MARCOS, TEXAS: <br /> <br />P ART 1. The attached Amended and Restated Advertising Program Agreement between <br />the City of San Marcos, Tanger Properties Limited Partnership, and Prime Retail, Inc. for the <br />development and implementation of a joint advertising program is approved. <br /> <br />PART 2. The City Manager, Larry D. Gilley, is authorized to execute the agreement on <br />behalf of the City. <br /> <br />PART 3. This Resolution is in full force and effect upon its adoption. <br /> <br />ADOPTED on February 26, 2001. <br />
