<br />RESOLUTION REGARDING SECTION 147(t) APPROV..u. OF <br />HIGHLAl"'DS COlJ'NTY HE..u. TH FACILITIES AUTHORITY <br />REVE~'TIE BO~'DS (ADVENTIST HE..u. TH SYSTEl\'1JSUl'llJELT) <br />Al'ID OR~,GE COUNTY HEALTH FACILITIES AUTHORITY <br />REVE~'TIE BOl'l'DS (ADVENTIST HE..u. TH SYSTEl\'1JSUNBEL T) <br /> <br />\VHEREAS, Highlands County Health Facilities Authority ("Highlands") intends to issue <br />its Revenue Bonds (Adventist Health SystemlSunbelt, Inc.) (the "Highlands Bonds") in one or <br />more series and in an aggregate principal amount not to exceed $1,000,000,000; and <br /> <br />W'HEREAS, the Orange County Health Facilities Authority ("Orange") intends to issue its <br />Revenue Bonds (Adventist Health SystemlSunbelt, Inc.) (the "Orange Bonds") in one or more <br />series and in an aggregate principal amount not to exceed 51,000,000,000; and <br /> <br />W'HEREAS, collectively, the Highlands Bonds and the Orange Bonds may be referred to <br />herein as the "Bonds"; and <br /> <br />WHEREAS, the proceeds of the Bonds are to be loaned to Adventist Health <br />SystemlSunbelt, Inc., a Florida not-for-profit corporation ("Sunbelt") or an affiliate thereof, a <br />"501(c)(3) organization," within the meaning of Section 145 of the Internal Revenue Code of 1986, <br />as amended (the "Code") and will be used to provide financing for all or part of the cost of health <br />facilities located in various locations including San Marcos, Texas; and <br /> <br />W'HEREAS, Section 147(f) of the Code requires that the issuance of any qualitled 501(c)(3) <br />bonds be approved by a governmental unit (the "Host Governmental Unit") the geographic <br />jurisdiction of which contains the site of a facility to be fmanced with the Bonds; and <br /> <br />W'HEREAS, San Marcos, Texas is a Host Governmental Unit; and <br /> <br />WHEREAS, Highlands and Orange published notice of a public hearing regarding the <br />issuance of the Bonds (the "Public Notice") in a newspaper of general circulation in the jurisdiction <br />of San Marcos, Texas as required by Section 147(f) of the Code, a copy of the affidavit of <br />publication of the Public Notice is attached hereto as Exhibit A, and the comments received from <br />the public at the public hearing are summarized in Exhibit 13 attached hereto; and <br /> <br />W'HEREAS, the City Council of San Marcos, Texas acknowledges that the public hearing <br />was held for the purpose of obtaining the approval of San Marcos, Texas in order to comply with <br />Section 147(f) of the Code. <br /> <br />62664/02986:203808 _1.doc <br />
