Company History <br />4/1/11 <br />2011 <br />CenturyL lnk- <br />On April 1, 2011, CenturyLink completed its acquisition of Qwest Communications in a tax free, stock -for- <br />stock transaction, creating the third largest telecommunications provider — based on access lines — in the <br />United States, with Admiral William A. Owens as Chairman of the Board and Glen F. Post III as Chief <br />Executive Officer and President. <br />With the completion of the transaction, CenturyLink became a national, industry - leading communications <br />company. The combination created a company with proforma combined revenues of more than $18 <br />billion, a robust national 180,000 route mile fiber network and a strong employee base committed to <br />providing quality service to our customers. <br />2010 <br />On April 22, CenturyLink and Qwest Communications announced that their boards of directors approved <br />a definitive agreement under which CenturyLink will acquire Qwest in a tax -free, stock - for -stock <br />transaction. Qwest's origins date to 1988 when Southern Pacific Telecom was established as a subsidiary <br />of Southern Pacific Railroad to lay telecommunications cable. The company began offering limited long - <br />distance services in 1991, changed its name to Qwest Communications in 1995 and incorporated in 1997 <br />when it began construction of its nationwide fiber optic network. Qwest Communications (NYSE: Q) <br />became a publicly -held company with its successful initial public offering in June 1997. In June 2000, <br />Qwest became a company rich in history that dates back more than 120 years when the company <br />merged with U S WEST, one of the original regional bell operating companies (aka Baby Bells) that <br />resulted from the divestiture of AT &T in 1984. <br />2009 <br />On July 1, 2009, CenturyTel completed its acquisition of Embarq Corporation ( "EMBARQ ") in a tax free, <br />stock - for -stock transaction, creating one of the leading communications companies in the United States. <br />Simultaneously, the company began operating under the name CenturyLink (NYSE: CTL), with Admiral <br />William A. Owens as Chairman of the Board and Glen F.
