WASTE SERVICES OF TEXAS, LP <br /> <br />July 31,2001 <br /> <br />Larry Gilley <br />City Manager <br />City of San Marcos <br />630 East Hopkins <br />San Marcos, Texas 78666 <br /> <br />Re: The Solid Waste, Recycling and Disposal Contract, between the City of San Marcos and BFI Waste Systems <br />of North America, Inc. ("BFINA") <br /> <br />Dear Mr. Gilley, <br /> <br />BFI Waste Systems of North America, Inc. ("BFINA"), a Delaware corporation and an indirect wholly-owned <br />subsidiary of Allied Waste Industries, Inc., a Delaware cooperation ("A WI Parent"), hereby requests that Thc City of <br />San Marcos give written consent to an assignmcnt by BFINA ofthc above-referenced contract and all rights, title and <br />interest therein of SFINA to its affiliate, BFI Waste Services of Texas, LP ("SFI Services"), a Delaware limited <br />partnership. SFI Services hereby agrees to assume all responsibilities in compliance with the ternlS and conditions of <br />the above referenced contract and any liabilities associated therewith. It is desired to have this internal transfer <br />effectuated as of March 30, 200 I, unless otherwise indicated by your office. <br /> <br />This assignment is being requested as a result of A WI Parent's internal efforts to restructure certain of its subsidiaries <br />and affiliates to be administratively consistent with other existing operations. As a part of this subsidiary restructuring <br />project, the ownership in BFI Services ultimately will be held as follows: 99% limited partnership interest by Allied <br />Waste System Holdings, Inc. ("A WSW) and a I % general partnership interest by Allied Waste Landfill Holdings, Inc. <br />("A WLFH"). However, it is important to note that the current management and operations of the various local <br />operations will not be affected by this assignment. While the change results from a purely internal transfer of assets <br />and liabilities, the change is in the nature of a name change, in that the ultimate owner of each BFINA, BFI Services, <br />A WSH, and A WLFH remains to be the A WI Parent. There will be no change in operations, personnel or any other <br />aspect of the local operations as a result of this administrative adjustment.
