<br />ARTICLE 16 <br />ENUMERATION OF CONTRACT DOCUMENTS <br /> <br />16.1 This Agreement represents the entire and integrated agreement between the City <br />and the Subrecipient and supersedes all prior negotiations, representations or arguments <br />either written or oral. <br /> <br />16.2 The execution and performance of this Agreement by the City and the Subrecipient <br />have been duly authorized by all necessary laws, resolutions or corporate action, and this <br />Agreement constitutes the valid and enforceable obligations of City and Subrecipient in <br />accordance with its terms. <br /> <br />16.3 This Agreement may be amended only by written instrument signed by both City and <br />Subrecipient. The Agreement contains the following exhibits attached to and incorporated <br />in this Agreement for all purposes: <br /> <br />(1) Statement of Work (Exhibit "A") <br />(2) Project Timetable (Exhibit "B") <br />(3) CDBG Accumulative Report (Exhibit "C") <br />(4) Project Budget (Exhibit "D") <br />(5) Organization Budget (Exhibit "E") <br /> <br />This Agreement is effective as of the date first written above. <br /> <br />City of San Marcos <br /> <br />By: <br />Larry D.
