<br />ARTICLE 2 <br />CITY'S RESPONSIBILITIES <br /> <br />2.1 The City agrees to provide to the Association the sum of $25,000.00 for the improvements <br />to the Facilities described in 1.1 above. <br /> <br />ARTICLE 3 <br />MISCELLANEOUS PROVISIONS <br /> <br />3.1 If any provision in this Agreement be found or deemed to be invalid, this Agreement will be <br />construed as not containing such provision, and all other provisions will remain in full force and <br />effect. <br /> <br />3.2 The City of San Marcos is governed by the Texas Public Information Act, Chapter 552 of the <br />Texas Government Code. This Agreement and all written information generated under this <br />Agreement may be subject to release under this Act. <br /> <br />3.3 If the Association violates any of the terms or conditions of this Agreement, then the City may <br />provide written notice directing the Association to correct the violation, and to refrain from expending <br />or encumbering any further amounts of the Funds until the violation has been corrected to the <br />satisfaction of the City. If the Association fails to correct the violation, the City may terminate this <br />Agreement immediately, and may recover all of the Funds not yet expended by the Association. <br /> <br />3.4 If Association does not fully expend the Funds by September 30,2000, it will immediately <br />remit to the City all of the Funds not yet expended. The funds provided by this Agreement do not <br />count towards the value of the Association's required improvements to the Facilities under Section <br />4.B of the lease between the City and the Association dated December 22, 1998. <br /> <br />3.5 This Agreement is governed by the law of the State of Texas. Exclusive venue for any dispute <br />arising under this Agreement is in Hays County, Texas. <br /> <br />3.6 Neither the City nor the Association may assign, sublet, or transfer any interest in this <br />Agreement without the written consent of the other. <br /> <br />This Agreement is effective as of the date first written above. <br /> <br />City of San Marcos <br /> <br />. .
