ARTICLE 2 CITY'S RESPONSIBILITIES 2.1 The City agrees to provide to the Association the sum of $25,000.00 for the improvements to the Facilities described in 1.1 above. ARTICLE 3 MISCELLANEOUS PROVISIONS 3.1 If any provision in this Agreement be found or deemed to be invalid, this Agreement will be construed as not containing such provision, and all other provisions will remain in full force and effect. 3.2 The City of San Marcos is governed by the Texas Public Information Act, Chapter 552 of the Texas Government Code. This Agreement and all written information generated under this Agreement may be subject to release under this Act. 3.3 If the Association violates any of the terms or conditions of this Agreement, then the City may provide written notice directing the Association to correct the violation, and to refrain from expending or encumbering any further amounts of the Funds until the violation has been corrected to the satisfaction of the City. If the Association fails to correct the violation, the City may terminate this Agreement immediately, and may recover all of the Funds not yet expended by the Association. 3.4 If Association does not fully expend the Funds by September 30,2000, it will immediately remit to the City all of the Funds not yet expended. The funds provided by this Agreement do not count towards the value of the Association's required improvements to the Facilities under Section 4.B of the lease between the City and the Association dated December 22, 1998. 3.5 This Agreement is governed by the law of the State of Texas. Exclusive venue for any dispute arising under this Agreement is in Hays County, Texas. 3.6 Neither the City nor the Association may assign, sublet, or transfer any interest in this Agreement without the written consent of the other.
