notice. CARTS may terminate this Agreement for any reason by providing six months' advance written notice of termination to the City. CARTS shall be entitled to receive payments for expenses reasonably incurred in operating the System and winding down through the termination date stated in the notice. 19. Si na e The parties acknowledge and agree that the maintenance of transit signage for the System is governed by that certain Sign Maintenance Interlocal Agreement between the City and CARTS dated February 15, 2000 ( "Signage Interlocal Agreement "), a copy of which is attached hereto as Attachment 4. The parties agree that maintenance of signage for the System will continue to be governed by the terms of the Signage Interlocal Agreement so long as such agreement is in effect. 20. Miscellaneous a. Compliance with Laws. In carrying out is obligations under this Agreement, CARTS shall comply with all applicable state, federal and local transportation, safety and other laws, rules, regulations. b. Entire Agreement. This Agreement is the entire agreement of the parties on this subject matter, and may be amended only by a written document executed by the authorized representatives of the parties. c. Severability. If any part of this Agreement is determined to be invalid by a court or regulatory authority of competent jurisdiction, the rest of the agreement remains in effect unless contrary to the manifest intent of the parties. d. Assignment. Neither party may assign its rights or obligations tinder this Agreement without the written consent of the other party. e. Current Reventies. The parties to this Agreement expressly acknowledge and agree that all monies paid pursuant to this Agreement shall be paid from current lawfully appropriated revenues available to the paying party.
