<br />Willia~~ <br />.~ <br />Commun icltiOns 501 utions <br /> <br />Upgrade Addendum To <br />The Order Form For <br />The Master Orderin A reement <br /> <br />liPGRADE ADDENDUM TO THE ORDER FORi\1 FOR THE <br />:\-IASTER ORDERING AGREEMENT <br />WILLIAMS COMMl:\ICA TIONS SOLlITIO:\S, LLC <br /> <br />TIllS ADDENDUM shall both supplement and amend and shall constitute a part. together with any exhibits or schedules <br />attached hereto, of that certain ORDER FORM (the "Order"') issued pursuant to the Master Ordering Agreement made the <br /> <br />9th day of --.MarcL_ ' :WOO. between WILLIAi\1S COMMUNICA TIO-...;S SOLUTIONS, LLC ("Williams"') <br />and The City of San Marcos , ("Customer") and the tenns hereof will for all purposes <br />incorporated into the Order. In the event of any conflict bet\\een the terms of the i\laster Ordering Agreement. the Order <br />and/or the Addendum. the following will be the order of precedence: the Addendum. the Order and then the Agreement. All <br />capitalized tenns, unless otherwise indicated. will have the meanings attributed to them in the Master Ordering Agreement <br />(the "Agreement'") between the parties. <br /> <br />1. <br />The System being purchased and licensed by Customer pursuant to the Agreement constitutes an upgrade ("Upgrade"') to <br />Customer's existing telecommunications system ("'Existing System"). Title and ownership to any equipment replaccd by the <br />Upgrade shall be transferred to and vest in Williams. <br /> <br />II. <br />The Warranty Period for the Upgrade shall be cotenninous with the Warranty Period or Maintenance Tenn contained in the <br />agreement between the parties, if any, (the "Existing Agreement'") for the Existing System in effect at the time of Cutover. If <br />there is no Existing Agreement in place. the Warranty Period for this Upgrade shall be ninety (90) days from the date of <br />Cutover.
