<br />Willi~. <br />~ <br /> <br />Commun icltions 501 utions <br /> <br />Upgrade Addendum To <br />The Order Form For <br />The Master Orderin A reement <br /> <br />UPGRADE ADDENDlil\1 TO THE ORDER FORM FOR THE <br />\IASTER ORDERI:\G AGREEMENT <br />WILLIA\IS CO\r\IUNICA TIO:\S SOLUTIONS, LLC <br /> <br />TillS ADDE;\DCM shall both supplement and amend and shall constitute a part, together with ~1I1Y exhibits or schedules <br />attached hereto, of that certain ORDER FORM (the "Order") issued pursuant to the Master Ordering Agr<eement made the <br /> <br />9th day of ~~~~I'~____ . :2000, between WILLIAMS COMMUNICATIONS SOLUTIONS. LLC ("Williams") <br />and The City of San Marcos , ("Customer") and the terms h<er<eof will for all purposes <br />incorporated into the Order. In the <event of any contlict between the terms of the Master Ordering Agreement, the Order <br />and/or the Addendum, the following will be the order of precedence: the Addendum. the Order and then the Agreement. All <br />capitalized terms. unless otherwise indicated. will have the meanings attributed to them in the Master Ord<ering Agreement <br />(the "Agreement"') between the parties. <br /> <br />I. <br />The System being purchased and licensed by Customer pursuant to the Agreement constitutes an upgrade ("Upgrade") to <br />Customer's existing telecommunications system ('"Existing System"). Title and ownership to any equipment replaced by the <br />Upgrade shall be transferred to and vest in Williams. <br /> <br />II. <br />The Warranty Period for the Upgrade shall be coterminous with the Warranty Period or Maintenance T <enn contained in the <br />agreement between the parties, if any, (the "Existing Agreement") for the Existing System in effect at the time of Cutover. If <br />there is no Existing Agreement in place. the Warranty Period for this Upgrade shall be ninety (90) days from the date of <br />Cutover.
