<br />LICENSE AGREEMENT 308 <br /> <br />3-13-00 <br /> <br />occasional users, other agencies, vendors and third party support <br />personnel without the express written permission from CIS. <br /> <br />Other "Additional Users" may use the System(s) only with express written <br />permission from CIS and only after additional applicable license and <br />support fees are paid CIS. <br /> <br />5. The User shall take all reasonable precautions to maintain the <br />confidentiality of the System(s), but not less than that employed to protect <br />its own proprietary and/or confidential records and information. The <br />obligations expressed in this provision shall remain binding upon the User <br />and Additional Users even after termination of this Agreement. <br /> <br />CIS shall maintain as confidential, any User documentation and records <br />provided to CIS. <br /> <br />6. The User may reproduce any System(s) related materials for its own use <br />as long as all titles, trademarks, trade names, and copyright notices are <br />also reproduced. The User may make two (2) copies of the System(s) <br />software for backup purposes only and affix copyright notices. <br /> <br />7. This Agreement, and any of the licenses, System(s) or related materials <br />to which it applies, may not be assigned, sublicensed, sold, mortgaged, <br />pledged, or otherwise transferred by the User. <br /> <br />8. Upon termination of this Agreement for any reason, the User shall <br />immediately remit all payments due CIS, delete the Systems from all <br />Servers and Workstations, and deliver to CIS the originals and all copies <br />(whether partial or whole, and regardless of form) of the System(s) and <br />related materials within ten (10) calendar days of the effective date of <br />termination. <br /> <br />9. User may desire to purchase System(s) in addition to those listed on <br />Page 1 of this Agreement. CIS agrees to add said System(s) to this _ <br />Agreement at the then current CIS price by written Amendment in <br />accordance with Paragraph H.8 below. <br /> <br />10. The Specifications including but not limited to features, functions and data <br />elements for the System(s) listed on Page 1 of this Agreement are <br />specified only in the applicable Addendum on said Page 1. CIS reserves <br />the right to change said Specifications without notice. <br /> <br />CIS will provide software in new releases to preserve User's data in the <br />event that any changes to the System(s) will affect User's data. <br /> <br />3 <br />
