1.4 "Cable Accessories" means the attachment and suspension hardware splice closures and <br />other components necessary either for the placement of the Cable in the underground or <br />overhead or for the continuity of the fiber strands within the structures. <br />1.5 "Cable Parameters" means the operational standards of the City Fibers, which shall be <br />the customary industry standards for Fibers of the type installed in the System, but in no <br />case less than the standards applied by Grantor to its own Fibers within the System. <br />1.6 "City Fibers" means six (6) Fibers in which Grantee is acquiring an IRU, as an in -kind <br />contribution under the License Agreement and pursuant to the terms and conditions <br />herein. The location of City Fibers is set forth in Addendum B of this IRU Agreement. <br />1.7 "Demarcation Point" means a boundary point on one side of which Grantor has all <br />responsibility for obtaining and preserving all Required Rights, providing maintenance, <br />repair, relocation and splicing activities, and for carrying out all other Grantor obligations <br />set forth in this IRU Agreement (known as the "Network Side "); the other side of the <br />Demarcation Point (known as the "Premise Side ") is where Grantee bears all <br />responsibility. <br />1.8 "Fibers" means any optical fibers contained in the System, including the City Fibers, as <br />of the Effective Date. <br />1.9 "IRU" or "Indefeasible Right of Use" means a form of acquired capital in which the <br />Grantee possesses an exclusive and irrevocable right to use the City Fibers, together with <br />non - exclusive use of the Associated Property, for the entire IRU Term. <br />1.10 "Network Side" has the meaning set forth in Section 1.7. <br />1.11 "Premise Side" has the meaning set forth in Section 1.7. <br />1.12 "Required Rights" means any agreement, conveyance, easement, license, franchise or <br />permit obtained by Grantor from a government entity or any third party, governing the <br />terms under which Grantor may access and use public rights -of -way, private property, <br />Structures and other property in order to use, install, construct and maintain Cable, Cable <br />Accessories and Structures. <br />1.13 "Route" shall mean the path in which the City Fibers are or will be constructed and <br />installed. <br />1.14 "Scheduled Maintenance" means patrolling the route regularly and performing routine <br />maintenance on signs, ducts, pole attachments and other facilities, plus enrolling in all <br />applicable "dig safe" programs and responding to all locating and marking requests. <br />1.15 "Structures" means towers, poles, conduit, manholes, hand holes, splice cases and <br />associated civil works on or in which the Cable is located. <br />-2- <br />
