5. Miscellaneous Provisions <br />(a) This Agreement is subject to the terms and conditions of the Addendum. <br />However, to the extent of any express contrary or additional requirement herein, such contrary or <br />additional requirement shall govern over the terms of the Addendum. <br />(b) This Agreement represents the entire and integrated Agreement between the City <br />and Winstead and supersedes all prior negotiations, representations or agreements either written <br />or oral.
