<br />134. <br /> <br />AMENDMENT NO. 1 TO <br />T AX ABATEMENT AGREEMENT BETWEEN <br />THE CITY OF SAN MARCOS AND GENL YTE THOMAS GROUP, LLC <br />FOR DEVELOPMENT OF MANUFACTURING FACILITY <br /> <br />This is Amendment No.1 to the Tax Abatement Agreement dated September 6,2000 (the <br />"Original Agreement") between the City of San Marcos, Texas (the "City"), a Texas municipal <br />corporation, and the Genlyte Thomas Group, LLC ("Genlyte"), a Delaware corporation. <br /> <br />A. In consideration of the mutual covenants contained in the Original Agreement, as modified in <br />this Amendment No.1, the parties agree to amend the Original Agreement as follows (underlining <br />indicates added language and ovCI5tlikc indicates deleted language): <br />1. Section 1.02 of the Original Agreement is amended as follows: <br />Section 1.02. Genlyte has a contract for the purchase of the 46 5-8- acre, more or less, tract <br />of property (the "Property") described on the attached Exhibit A, located in the 1500-1600 blocks <br />of Clovis Barker Road in San Marcos, Hays County, Texas. The Property meets the eligibility <br />criteria for tax abatement under the Policy. The Property is situated within the City of San Marcos <br />Reinvestment Zone No. 12 designated by separate ordinance by the City Council. <br />2. Section 2.01 of the Original Agreement is amended as follows: <br />Section 2.01. Genlyte intends to construct a new 300,000 J50,000-400,000 square foot <br />manufacturing facility (the "Facility") on the Property at a total proiect cost of approximately <br />$30,000,000, including capital costs (building and equipment) of approximately $19,500.000. The <br />Facility will be equipped with manufacturing, processing and handling machinery and equipment <br />(the "Equipment"). <br /> <br />B. The parties agree that all of the other provisions of the Original Agreement will remain in full <br />force and effect. <br /> <br />EXECUTED on November 14 <br /> <br />,2000. <br />
