<br />I <br /> <br />I <br /> <br />I <br /> <br />ARTICLE 8 <br /> <br />Closing <br /> <br />Section 8.1 Time and Place. The exchange of documents and funds (the "Closin2") <br />hereinafter described shall take place at the offices of the Title Company. The Closing shall <br />occur on May 15, 2006. <br /> <br />Section 8.2 Seller Deliverv. At the Closing, Seller shall deliver or cause to be <br />delivered to Purchaser, at Seller's sole cost and expense except as may be indicated below, each <br />of the following items: <br /> <br />(a) A general warranty deed if Seller acquired title to the Property by a <br />general warranty deed, or otherwise, a special warranty deed (the "Deed"), duly executed <br />and acknowledged by Seller, and in fonn for recording reasonably acceptable to <br />Purchaser and Title Company, conveying good and indefeasible fee simple title in the <br />Property to Purchaser, subject only to the Permitted Exceptions. <br /> <br />(b) An affidavit in a form acceptable to Title Company from Seller stating, <br />under the penalty of peljury that neither Seller nor any other party so swearing is a <br />"foreign person" as defined in Section 1445 of the Internal Revenue Code, as amended <br />(the "Code"), and Rules and Regulations promulgated by the Treasury Department <br />incident thereto. <br /> <br />(c) An updated Title Commitment for the issuance, at Seller's expense, of the <br />Owner Policy in the form specified in Section 4.3 hereof. <br /> <br />(d) A bill of sale for any personal property and non-real property on the <br />Property desired by Purchaser and an assignment of all warranties, guaranties, contracts, <br />pennits, and licenses benefiting the Property; provided, however, that these documents <br />shall only be required if desired by Purchaser in its sole discretion. <br /> <br />(e) Such evidence or documents as may be reasonably required by the <br />Purchaser or the Title Company evidencing the status and capacity of Seller and the <br />authority of the person or persons who are executing the various documents on behalf of <br />the Seller in connection with the sale of the Property, and any other documents to be <br />executed by Seller and necessary to close in accordance with this Agreement. <br /> <br />(f) possession of the Property in accordance with Section 8.5. <br /> <br />Section 8.3 Purchaser Deliverv. At the Closing, Purchaser shall deliver to Seller the <br />following items: <br /> <br />(a) The Purchase Price in the amount and manner specified in Section 2.1 and <br />Section 2.2 hereof, including, without limitation, the application of the Independent <br />Contract Consideration and the Earnest Money to the Purchase Price. <br /> <br />-10- <br />
