-~-gar F's <br />ii~,i.i'?44'1~ OF'R ?99ii 'u15 <br />(o) "Land" shall mean the tract of land situated in the City of San Mazcos, <br />Hays County, Texas, described in Exhibit A attached hereto and made a part hereof for all <br />purposes. <br />(p) "Lease" shall mean this Conference Center Lease Agreement by and <br />between Lessor, as lessor, and Lessee, as lessee, covering the Leased Premises. <br />(c~ "Lease Year" shall mean for the first Lease Year the period of time <br />commencing on the Operational Date and ending on the last day of the 12~' full calendaz month <br />thereafter and for each successive Lease Year, other than the last yeaz, the twelve full calendar <br />month period commencing on the day following the expiration of the preceding Lease Yeaz. The <br />final Lease Yeaz shall commence on the day following the expiration of the immediately <br />preceding Lease Year and shall continue until the Expiration Date. <br />(r) "Leased Premises" shall mean the Conference Center and Related <br />Infrastructure, including, without limitation, pazking azeas constructed upon the Land. <br />(s) "Lessee" shall mean JQH -San Marcos Development, LLC, a Missouri <br />limited liability company, or any assignee thereof as provided in Section 8.1 hereof. <br />(t) "Lessor" shall mean the City of San Mazcos, Texas, a duly incorporated <br />home rule city of the State of Texas, located in Hays County, Texas, or any assignee thereof. <br />(u) "Lessor Entity" shall mean Lessor or any governmental body, agency or <br />political subdivision to whom Lessor's power to levy, assess or collect ad valorem taxes is <br />transferred by law or contract. <br />(v) "Master Agreement" shall have the meaning set forth in the Recitals. <br />(w) "Operational Date" shall mean the date on which construction has been <br />substantially completed on the Conference Center. <br />(x) "Person" shall mean any person or entity. <br />(y) "Plans" shall mean the Plans relating to the Leased Premises as developed <br />in accordance with the Design Build Contract entered into by the City in accordance with the <br />Master Agreement. <br />(z) "Related Infrastructure" shall mean any automobile parking areas, water <br />or sewer facilities, plazas, landscaped azeas, pedestrian circulation azeas or other construction on <br />the Land in connection with the use and/or operation of the Conference Center. <br />Agreement. <br />(aa) "Taxable Bond Debt" shall have the meaning ascribed to it in the Master <br />(bb) "Tenn" shall mean the term of this Lease as provided in Section 1.2 hereof <br />803273.4 <br />C-3 <br />
