Bk Vol F's <br />3.2.3.2. be built and operated in accordance with applicable <br />environmental standards under federal, state, and local laws and ordinances (the <br />"Environmental Standards"); and <br />3.2.3.3. be substantially similar to the quality and standazds <br />contained in the hotel and conference center located in Frisco, Texas which was constructed <br />pursuant to that certain Master Development Agreement between the City of Frisco, Texas <br />and the Trust. <br />3.2.4. Procedure. <br />3.2.4.1. On or before March 7, 2006, JQH shall deliver to City the <br />Schematic Package for the Hotel. The construction evidenced by the Schematic Package, <br />and the Schematic Package itself, must comply with all applicable laws, statutes, ordinances, <br />codes, orders, rules, regulations, and be consistent with the Site Plan. City shall have ten <br />(10) days within which to review the Schematic Package and send any objections and/or <br />required revisions to JQH. Upon receipt of such objections and/or required revisions, JQH <br />shall, within ten (10) days thereafter, cause the Schematic Package to be revised and resubmit <br />same to the City for review and approval. For purposes hereof, the "Schematic Package" <br />means schematic design documents for the Hotel and ancillary improvements consisting of <br />azchitectural drawings and other documents illustrating the style and relationship of the <br />components of the improvements, including, the exterior and interior of the Hotel; outline <br />specifications and a detailed finish schedule for the buildings constituting part of the Hotel. <br />The Schematic Package must be sufficient for the City to verify that the proposed design of <br />the Hotel complies with the exterior construction and design requirements found in the City's <br />Land Development Code (the "LDC"). <br />3.2.4.2. Upon City's approval of the Schematic Package, JQH shall <br />cause final construction drawings for the entirety of the Hotel and ancillary improvements to <br />be delivered to City on or before July 31, 2006 which drawings must be prepared by JQH's <br />Architect and be based on and incorporate the Schematic Package. The construction <br />evidenced by the Final Construction Drawings and the Final Construction Drawings <br />themselves must comply with all applicable laws, statutes, ordinances, codes, orders, rules <br />and regulations. City will have thirty (30) days from its receipt of the Final Construction <br />Drawings to make any objections or proposed revisions thereto. Should City object to any <br />portion of such drawings as not being in conformance with the Schematic Package, JQH's <br />Architect must revise same at JQH's sole cost and expense no later than ten (10) days after <br />receipt of the proposed revisions and/or corrections from the City. Once the City's required <br />revisions have been incorporated in the Final Construction Drawings, same shall be <br />resubmitted to City for approval. Upon City's approval of the Final Construction Drawings, <br />to be evidenced by a writing signed by the City's Manager, same shall be deemed to be the <br />Approved Plans for the Hotel, subject to any required approval of the Approved Franchisor. <br />3.2.4.3. Notwithstanding anything contained herein to the contrary, <br />the City may withhold approval of the Schematic Package and/or the Final Construction <br />Drawings pending its development and review of the proposed plans of the Conference <br />Center. <br />6 <br />803273.4 <br />
