Yates, P.E., Special Projects Manager <br /> <br />LETTER OF AGREEMENT <br /> <br />Dear Mr. Yates: <br /> <br />This letter shall serve as an agreement between Fugro Consultants, LP (the "Consultant"), 8613 <br />Cross Park Drive, Austin, Texas 78754 and the City of San Marcos ("City"), 630 East Hopkins, <br />San Marcos, Texas 78666 for the provision of professional geotechnical investigation, <br />construction materials testing and related consulting services in connection with the Rio Vista <br />Dam Maintenance and Whitewater Improvements Project (the "Project") as described in the <br />Scope of Services attached as Attachment A. The Consultant agrees to perform all services in <br />accordance with the attached City of San Marcos Terms and Conditions for Professional Service <br />Agreements (Attachment B). In the event of a conflict between the provisions in Attachment A <br />and Attachment B, the more restrictive provision, with respect to the Consultant's obligations, <br />wIll apply. <br /> <br />Each material change (deletion or addition) in the services to be provided by Consultant must be <br />authorized by the City on the Authorization of Change in Services form attached to this <br />Agreement as Attachment C prior to the Consultant's execution of any additional services. <br /> <br />The City agrees to pay the Consultant a fixed fee of $35,000.00 for the satisfactory performance <br />of its services. Reimbursable expenses, including such things as expenses for reproduction of <br />documents, auto travel mileage, lodging, delivery charges, long distance communications and <br />freight, are included in the Engineer's basic services compensation. <br /> <br />Payment will be made to the Consultant monthly following the City's receipt of the Consultant's <br />itemized invoices. The amounts of these invoices will be based upon the extent of work <br />completed by the Consultant on a percentage basis within each Activity, less any disputed <br />amounts, pending resolutiOn thereof. Compensation for the Consultant's Additional Services <br />will be computed based on the Engineer's standard hourly rates included in Attachment A. <br /> <br />Please indicate your acceptance of this agreement by counter-signing both agreements, returning <br />one fully executed original and retaining one executed copy for your files.
