<br />I <br /> <br />I <br /> <br />I <br /> <br />132. <br /> <br />PROFESSIONAL CONSULTING SERVICES AGREEMENT <br /> <br />This Agreement is made this the 6th day of Febrl.lHY ,2006, between the City <br />of San Marcos, Texas ("City"), 630 East Hopkins, San Marcos, Texas 78666 and Recreational <br />Engineering and Planning, Inc. ("Consultant"), 485 Arapahoe Ave., Boulder, Colorado 80302 for <br />the provision of consulting services in connection with the Rio Vista Dam Maintenance and <br />Whitewater Improvements Project (the "Project"). <br /> <br />The City and the Consultant agree as follows: <br /> <br />ARTICLE 1 <br />CONSUL T ANT'S SERVICES AND RESPONSIBILITIES <br /> <br />1.1 PROJECT DESCRIPTION AND COORDINATION; STANDARDS OF <br />PERFORMANCE; ENVIRONMENTAL SENSITIVITY <br /> <br />1.1.1 The Project generally consists of A) the stabilization of the existing Rio Vista Dam <br />structure and construction of three white water "drops" within the channel of the San Marcos <br />River in the vicinity of the Rio Vista Dam to reduce and disperse the current erosive flow <br />condition below the Rio Vista Dam (the "Instream Work"), and B) the stabilization, reshaping, <br />and improvement of the banks of the San Marcos River in the area of Rio Vista Dam (the "Bank <br />Work"). The Consultant will be responsible for advising and assisting the staff of the City's <br />Environment and Engineering Department in developing plans and specifications and other <br />construction contract documents for the Instream Work portion of the Project, and for <br />construction administration for the Instream Portion of the Project. The City expects to retain <br />Halff Associates, Inc. to provide engineering services related to the Bank Work portion of the <br />Proj ect. <br /> <br />1.1.2 The City has coordinated preliminary aspects of the design and construction of the Proj ect <br />with the Consultant, with Half[ Associates, Inc., and with Greenway, Inc. and KBR, the <br />construction contractors the City expects to engage to perform the construction work on the <br />Project. The Consultant fully understands and acknowledges that the successful completion of <br />the Project will require a high degree of cooperation and coordination between the Consultant, <br />the engineer selected by the City for the Bank Work portion of the Project, and the construction <br />contractors engaged by the City to perform the construction work on the Project. The City <br />anticipates that the Instream Work and the Bank Work will each be performed by a single <br />construction contractor under separate construction contracts. The City reserves the right, <br />however, to prosecute the work in the manner which is most beneficial to the City. In providing <br />its services, the Consultant agrees to provide a high level of cooperation and coordination with <br />all parties involved in the design and construction process for the Project, to ensure that <br />regardless of the approach to construction selected by the City, the Project is completed in a <br />manner that ensures integration of the Instream Work and Bank Work components, and <br />functionality and durability of the overall Project. <br /> <br />1.1.3 The Consultant certifies that it has special expertise in the area of in-stream dam and <br /> <br />I <br /> <br />REP Rio Vista Dam <br />
