<br />I <br /> <br />I <br /> <br />I <br /> <br />53. <br /> <br />LICENSE AGREEMENT <br /> <br />Date: <br /> <br />December 7, 2004 <br /> <br />Licensor: <br />78666 <br /> <br />City of San Marcos, 630 E. Hopkins Street, San Marcos, Hays County, Texas <br /> <br />Licensee: Housing Authority of the City of San Marcos, 1201 Thorpe Lane, San Marcos, <br />Hays County, Texas 78666. <br /> <br />Consideration: Ten and no/1 00 Dollars and other good and valuable consideration, including <br />the Licensee's performance of its obligations under this agreement. <br /> <br />Property: The following two tracts of property: Tract A: The 0.676 acre, more or less, area of <br />property depicted on the map attached as Exhibit A; and Tract B: The 10,831.7 square foot, more or <br />less, area of property within the Licensor's right-of-way in the 200 block of Love Street, as more <br />fully depicted on the attached Exhibit B. <br /> <br />RECIT ALS: <br /> <br />A. On February 26, 1991, the Licensee and Licensor entered into a License Agreement for <br />the Licensee's use of Tract A for the construction and maintenance of parking facilities for the <br />residents of the Licensee's Chapultepec Apartments (the "Adjoining Property"). <br /> <br />B. On August 14, 1990, the Licensee and Licensor entered into a License Agreement for the <br />Licensee's use of Tract B for the construction and maintenance of parking facilities for the residents <br />of the Licensee's Adjoining Property. <br /> <br />C. The Licensor and the Licensee wish to these two license agreements to allow for ongoing <br />use by the Licensee of both Tract A and Tract B for the construction and maintenance of parking <br />facilities for the residents of the Licensee's Adjoining Property. The parking facilities on Tract A and <br />Tract B of the Property are referred to collectively as the "Improvements". <br /> <br />GRANT OF LICENSE; TERMS AND CONDITIONS <br /> <br />NOW THEREFORE, the Licensor, for the consideration, grants and demises to the Licensee <br />a non-exclusive license to install, and maintain the Improvements on the Property, subject to the <br />following: <br /> <br />1. Building and Other Construction Permits. The Licensee agrees to apply for and obtain <br />a permit and other applicable permits from the Licensor's Public Works Department for any <br />construction or reconstruction activities on the Property. <br /> <br />2. Compliance with Laws and Regulations. The Licensee agrees to comply with all <br />federal, state and local laws, construction and safety codes, and other regulations in the construction <br />
