The Chamber shall obtain the advice and counsel of the Board as to the hiring and firing of management-level Chamber employees responsible for activities under this Contract. The Chamber President has day-to-day management responsibilities for Chamber employees involved in activities under this Contract. E. The Board and the Chamber shall each designate two officers authorized to co-sign checks written on all accounts for Tourism Funds. The signature of at least one official of each organization is required on all checks over $250 in amount written on accounts for Tourism Funds. Checks in the amount of $250 or less written on these accounts require only one official signature. F. The Chamber shall give advance public notice of meetings of the Board, and shall allow members of the public to attend these meetings. The Board is subject to State laws and City ordinances which apply generally to City boards and commissions, including those requiring disclosure of conflicts of interest and abstention from participation in decisions involving conflicts of interest. The Chamber shall provide facilities and staffing for meetings ofthe Board, and shall keep minutes of meetings of the Board. The Chamber shall provide a copy of the minutes of each Board meeting to the City. G. Purchases made with Tourism Funds which exceed $1000 in amount shall be made from the low responsible bidder, and at least three bids shall be obtained for each such purchase. Purchases made with Tourism Funds shall not be restricted to Chamber members. Chamber Board members shall disclose any private interests they have in matters coming before the Chamber Board for decision when action on the matter may have a special economic effect on those interests, and they shall abstain from the discussions and votes on those matters. 4. TERM; TERMINATION A. The term ofthis Contract shall be from October 1,2004 through September 30, 2005. It is expressly agreed that either party may cancel this Contract by tendering written notice to the other. Upon expiration of 30 days from the date ofthe written notice or any date specified after thirty 30 days from the date of the notice, this Contract shall be terminated. B. Any funds allocated to the Chamber by the City which are unencumbered or unexpended on the effective date ofthe termination of this Contract shall be remitted to the City on or before the 3
