33. <br /> <br />ARBITRAGE CALCULATION SERVICES AGREEMENT <br /> <br /> This Agreement is made this the_2q~_TH day of .JIA.~!~JAR¥ ,2003, between the City of <br />San Marcos, Texas ("City"), 630 East Hopkins, San Marcos, Texas 78666 and First Southwest Asset <br />Management, Inc. ("Consultant"), 325 North St. Paul Street, Suite 800, Dallas, Texas 75201 for the <br />Consultant's provision of arbitrage calculation services. <br /> <br />The City and the Consultant agree as follows: <br /> <br /> ARTICLE 1 <br />STANDARD OF PERFORMANCE <br /> <br />1.1 The performance of all services by Consultant in connection with this Agreement will be by <br />persons appropriately licensed or registered under State, local and Federal laws. Consultant <br />certifies that it is fully qualified to provide arbitrage rebate calculation services for governmental <br />bond issuers pursuant to the provisions of Section 148(0(2) of the Internal Revenue Code of 1986 <br />(the "Code"). Consultant further certifies that all its personnel directly responsible for performing <br />services under this Agreement are Certifi ed Public Accountants who have no personal interest, direct <br />or indh'ect, in the fiscal affairs of the City government or any of its officers. <br /> <br />1.2 In performing all services under this Agreement, the Consultant will use the highest, fiduciary <br />degree of care and skill, shni]ar to that exercised for similar engagements by professional financial <br />services consulting finns possessing a statewide or national reputation for the types of services <br />involved under this Agreement. <br /> <br />1.3 No work under this Agreement will be subcontracted by Consultant without prior written <br />approval from the City. Any work or services subcontracted under this Agreement will be specified <br />by separate written agreement and will be subject to each provision of this Agreement. <br /> <br />1.4 Anyprovisions in this Agreement pertaining to the City's review, approval and/or acceptance <br />of written materials prepared by Consultant and/or its subcontractors, in cmmection with this <br />Agreement will not diminish Consultant's responsibility for the materials. <br /> <br />1.5 Consultant will perform all of its services in coordination with the City. Consultant will <br />advise the City of data and information Consultant needs to perform its services. The City may <br />require a review meeting with the Consultant's representatives occasionally to evaluate the working <br />relationship between the City and Consultant. <br /> <br />arbitrage ser~ices,wpd I <br /> <br /> <br />
