I I I I activities under this Contract. E. The Board and the Chamber shall each designate two officers authorized to co-sign checks written on all accounts for Tourism Funds. The signature of at least one official of each organization is required on all checks over $2S0 in amount written on accounts for Tourism Funds. Checks in the amount of $2S0 or less written on these accounts require only one official signature. F. The Chamber shall give advance public notice of meetings of the Board, and shall allow members of the public to attend these meetings. The Board is subject to State laws and City ordinances which apply generally to City boards and commissions, including those requiring disclosure of conflicts of interest and abstention from participation in decisions involving conflicts of interest. The Chamber shall provide facilities and staffing for meetings of the Board, and shall keep minutes of meetings of the Board. The Chamber shall provide a copy of the minutes of each Board meeting to the City. G. Purchases made with Tourism Funds which exceed $1000 in amount shall be made from the low responsible bidder, and at least three bids shall be obtained for each such purchase. Purchases made with Tourism Funds shall not be restricted to Chamber members. Chamber Board members shall disclose any private interests they have in matters coming before the Chamber Board for decision when action on the matter may have a special economic effect on those interests, and they shall abstain from the discussions and votes on those matters. 4. TERM; TERMINATION A. The term ofthis Contract shall be from October 1,2004 through September 30, 200S. It is expressly agreed that either party may cancel this Contract by tendering written notice to the other. Upon expiration of 30 days from the date of the written notice or any date specified after thirty 30 days from the date of the notice, this Contract shall be terminated. B. Any funds allocated to the Chamber by the City which are unencumbered or unexpended on the effective date of the termination of this Contract shall be remitted to the City on or before the expiration of thirty 30 days from the date of the termination; provided, that ifthe parties execute a new contract to renew the Chamber's tourism promotion services and activities, the Chamber may use the funds for its usual and customary expenses until the date of its first allocation of funds under the new contract, when it will remit the remaining funds under this Contract to the City. 3
