City's Responsibilities <br /> <br />(a) The City will provide information to The Library Corporation regarding the City's requirements for <br />The Library Corporation's services under this Agreement. The City will furnish The Library <br />Corporation with copies of official City policies and procedures, and other data and information in the <br />City's possession needed by The Library Corporation at its request. <br /> <br />(b) Stephanie Langenkamp, Library Director is authorized to act on the City's behalf with respect to this <br />Agreement. The City will examine documents and information submitted by The Library Corporation, <br />and promptly render responses to The Library Corporation on issues requiring a decision by the City. <br /> <br />6. Library Corporation's Records <br /> <br />(a) All expense records of The Library Corporation will be kept on a recognized accounting basis <br />acceptable to the City and will be available to the City at mutually convenient times (applies only if <br />The Library Corporation is to be reimbursed for any expenses). <br /> <br />(b) The City, its auditors and federal and state agencies that ha\€ monitoring or auditing <br />responsibilities for this Agreement will have access to any books, documents, papers and records of <br />The Library Corporation which are directly pertinent to this Agreement for the purpose of making <br />audit, examination, excerpts, copying and transcriptions. <br /> <br />(c) The Library Corporation will furnish to the City at such time and in such form as the City may <br />require, financial statements including audited financial statements, records, reports, data and <br />information, as the City may request pertaining to the matters covered by this Agreement. <br /> <br />7. Ownership of Data and Use of Documents <br /> <br />(a) All documents prepared by The Library Corporation specially for the City in connection with this <br />Agreement will become the property of the City whether any project related to this Agreement is <br />executed or not. <br /> <br />(b) The City will maintain ownership and control of all data files generated by the City using any <br />software provided by The Library Corporation. <br /> <br />(c) The Library Corporation will retain all of its records and supporting documentation relating to this <br />Agreement, and not delivered to the City, for a period of three years from the date of termination of <br />the agreement, except that in the event The Library Corporation goes out of business during that <br />period, it will tum over to the City all of its records relating to the Project for retention by the City. <br /> <br />8. Miscellaneous Provisions <br /> <br />(a) As to all acts or failures to act by either party to this Agreement, any applicable statute of limitations <br />will commence to run and any alleged cause of action will be deemed to have accrued when the <br />party commencing the cause of action knew or should have known of the existence of the subject <br />act or failure to act. <br /> <br />(b) The Library Corporation agrees not to use funds received by it under the terms of this Agreement <br />for any partisan political activity or to further the election or defeat of any candidate for public office. <br /> <br />September 2, 2004 <br /> <br />Library Contract <br /> <br />Page 27 of 29 <br />
