The investment of the proceeds of the sale of the Bonds and the use of such proceeds and the investment income thereon to pay prin- cipal and interest on the Original Bonds shall be effected pursuant to the terms and provisions of an escrow agreement substantially in the form of the Escrow Agreement, dated as of June 1, 1982 (the "Escrow Agreement") by and among the Corporation, the User and \{achovia Bank and Trust Company, N.A., as escrO\v agent (the "Escrow Agent"), \vhich was presented to the Board, the form, terms and provisions of such Escrow Agreement being hereby authorized and approved, and the President and Vice President of the Corporation are hereby severally authorized and directed to execute and deliver the Escrow Agreement on behalf of the Corporation, and the Secretary and the Ass istant Secretary of the Corporation are hereby severally am:horized to attest and affix the Corporation's seal thereto, with such changes therein as the officers executing the same may approve, such approval to be conclusively evidenced by such execution thereof. -3-
