<br />6. Company shall submit to City: (1) an executed interim loan agreement in the amount of at least <br />$1,801,500 from Citizens National Bank; (2) an executed loan agreement in the amount of at least <br />$998,000.00 from Bank of the West; and (3) an executed loan agreement in the minimum amount of <br />$803,500.00 from Texas Certified Development Company, Inc., to be utilized in conjunction with the <br />project funded under this contract. <br /> <br />7. Company shall submit to City a ledger with support documentation to include copies of invoices <br />and proof of payment (i.e. paid receipts, canceled checks, wire transfer receipt) documenting match <br />expenditures in the minimum amount of $25,600.00 from Company funds for construction costs <br />outlined in Exhibit A of this contract. <br /> <br />8. Company shall provide City with a document which states that (1) The Fountain People, Inc. will be <br />liable to City for Company's failure to comply with the conditions detailed in subsection 21.A.3, in an <br />amount not to exceed City's maximum obligation under this contract; and (2) The Fountain People, Inc. <br />will not close down its facility located in Hays County, Texas or require that the Company reduce its <br />employee level as determined in subsection 21.A.3, during the contract period. <br /> <br />9. Company shall ensure that each owner of the business holding a 20% or more ownership interest <br />assisted with funds provided under this contract executes an agreement with City to be jointly and <br />severally liable for the amount of funds provided to such business under this contract ,in the event the <br />business is dissolved, files under the federal bankruptcy code, ceases to be a going concern, or does not <br />fulfill its responsibilities under the agreement. Company shall submit copies of such personal guarantees <br />to City, and such personal guarantees shall specifically be obtained from Gerald B. Ebel and his spouse <br />Pat Dougherty-Ebel, Mark Terstreip and his spouse Joan Terstreip, Stephen Case and his spouse <br />Rosemary Case, and Preston Tatum and his spouse Sarah Tatum (hereafter referred to as the "personal <br />guarantors"). <br /> <br />10. Company shall ensure that Cal Tex Partners LTD. and The Fountain People, Inc. each executes an <br />agreement as described in subsection 21.A.3. <br /> <br />11. Company shall provide City a copy of the site plan used to award the construction contract(s) for <br />the proposed public infrastructure activities/improvements identified in Exhibit A, Performance <br />Statement. Such plan(s) shall depict the dimensions of the public infrastructure, easements, <br />encroachments, ingress and egress, including the location of Company's facilities, flatwork, driveways <br />and the connections to the public infrastructure. If not detailed in the site plan, Company shall provide <br />a plat identifying the names of the property owners adjacent to the public infrastructure improvements, <br />including the name and location of any other business that could utilize the proposed infrastructure <br />improvements. <br /> <br />12. Company shall provide to City evidence of the start of building construction on the project site as <br />specified in Exhibit A, Performance Statement. <br /> <br />13. Company shall provide documentation to City that the plans, specifications and installation for its on- <br />site sewer system activitieslimprovements have been reviewed, inspected and approved by the Hays <br />County Environmental Health Department. <br /> <br />14. Company shall provide to City a plan approval letter or evidence that the plans and specifications for <br />construction of, improvements to, or the renovation of buildings, described in Exhibit A, Performance <br />Statement and located on the project site, have been received by the Texas Department of Licensing and <br />Regulation (TDLR) concerning the elimination of architectural barriers encountered by persons with <br />disabilities as specified in TEX.REV.CIV.STAT. ANN. Art. 9102 and the rules promulgated thereunder. <br />Evidence of TDLR receipt must be proof of payment (i.e. paid receipt, canceled check, wire transfer <br />receipt) and a copy of the TDLR application form.
