<br />AUTHORIZATION AND AGREEMENT CERTIFICATION <br /> <br />1 <br /> <br />Authorization and Agreement Certification <br /> <br />The undersigned certifies that the signature appearing for the Client on the Client Agreement for Commercial Automated Investment <br />Account, dated March , 200.9., between Citv of San Marcos (the "Client") and Bank of America, NA, is a true <br />signature of a person authorized to execute such Agreement on behalf of the Client, and further certifies that the undersigned has full <br />authority to execute this certification. Bank of America is entitled to rely upon this certification until written notice of its revocation is <br />delivered to Bank of America. <br /> <br />Guidelines for completion: If the Client is a corporation, the chairman, president, chief executive officer, chief financial officer, treasurer, corporate <br />secretary or an assistant corporate secretary who did not sign the Agreement must sign this Certification; if the Client is a partnership, limited liability <br />company or limited liability partnership, one of the general partners or members must sign this Certification; if the Client is a governmental entity, the <br />entity's counsel must sign this Certification.
