<br />I <br /> <br />20.5 You have violated any requirement or warranty of this Agreement. <br /> <br />20.6 You have had for two consecutive months, or for any three months in a <br />six-month period, a monthly ratio of dollar Reversed POS Transactions <br />volume to dollar sales volume or a monthly ratio of number of Reversed <br />POS Transactions to number ofPOS Transactions in excess of 1 %. <br /> <br />20.7 There is an overdraft for five consecutive calendar days or more in the <br />Deposit Account or in any Deposit Account you maintain at the Bank or <br />other depository institution under Section 17. <br /> <br />20.8 There has been any material adverse change in your operation or <br />ownership, including changes in sales volume, average POS Transaction <br />amount elimination of our security interest in Deposit Account, or <br />addition or deletion of owners and/or guarantors. <br /> <br />20.9 You have been involved in originating fraudulent or otherwise <br />unauthorized POS Transactions. <br /> <br />20.10 You are unable or unwilling to perform fully your obligations under this <br />Agreement or any applicable laws or NACHA or Visa Rules. <br /> <br />I <br /> <br />20.11 You have defaulted on any Agreement with us or our affiliates or <br /> <br />20.12 You have not submitted a POS Transaction to us in the most recent <br />90-day period. <br /> <br />20.13 Upon the effective date of termination, your rights to enter into POS <br />Transactions, and to use forms, promotional material and any other items <br />provided by us, will cease. Termination of this Agreement does not affect <br />your obligations with respect to any Fee owing at termination, to any <br />Reversed POS Transactions accepted by us (whether before or after such <br />termination) including, without limitation, Reversed POS Transactions <br />and indemnity obligations, the security interest granted to us in Section <br />19 or the confidentiality of information and records. <br /> <br />20.14 Either party may terminate this Agreement by notice to the other in <br />writing at least 30 days prior to the effective date. Any such notice of <br />termination of the Electronic Check Service only and not affecting the <br />other Merchant Services must explicitly state the limited-service <br />termination. <br /> <br />18 <br /> <br />I <br />
