i

B) The Obligations include amounts:

I) due or not yet due

2) absolute or contingent

3) for a determined or undetermined amount

4) for amounts due from you as a result of your breach of the
Agreement.

C) The Guarantor understands that the maximum amount of the
Obligations is related to the Services provided under the Agreement,
and may be for an unlimited amount, unless a maximum amount is
provided in Section 24.02 below. Guarantor also understands that we
may from time to time modify the amount or type of Services
provided to you, which will increase the Guarantor's obligations
under this Guaranty.

D) This Guaranty is unconditional. We may require the Guarantor to
pay even if we do not:

I) proceed against you, any other Guarantor, or any other party

2) perfect any security interest

3) proceed against any security or

4) pursue any other remedy.

E) We may release or add Guarantors without releasing any other
Guarantor. We may require the Guarantor to pay even if a statute of
limitations or disability bars recovery from you or the Obligations
are or become otherwise unenforceable. The Guarantor waives the
benefit of any statute of limitations that would apply to the
Guaranty.

F) The Guarantor's obligations are independent of your Obligations,
and we may sue the Guarantor without suing you.

27.2 Limits ofthe Guaranty. At anyone time, the Guaranty is limited to your
Obligations under the Agreement, which may be for amounts without a
limit. We, however, may permit you to incur Obligations to us exceeding
the limits of this Guaranty and may apply amounts received from sources
other than the Guarantor to the unguaranteed portion of your Obligations
to us. This Guaranty is in addition to any other guaranty given by the
Guarantor.

I

23

I
