1- I I I 8.1.5 Should any training be provided by CenturyTel as part of its services under this Agreement such training will be sufficient to enable the City's staff to fully use the pertinent equipment provided under this Agreement for the City's intended purposes. 8.2 WARRANTIES FOR CORRECTION OF DEFECTS 8.2.1 The Contractor warrants that all equipment provided by CenturyTel under this Agreement will meet each of the requirements and representations described in this Agreement, IncludIng without limitation all representations of CenturyTel included in CenturyTel's Response Form. If errors or deficiencies are discovered after the date of formal acceptance of the services and pertinent equipment provided under this Agreement by the City, CenturyTe1 warrants that it will correct the defects without charge to the City, for the duration of this Agreement. This correction may take the form of equipment additions, modifications, or deletions, or the provision of substitute equipment which meets the system functions as specified in the Agreement. All additions, modifications, and substitutions will integrate fully with existing equipment and any computer software or hardware included under this Agreement. ARTICLE 9 INSURANCE AND INDEMNITY 9.1 CenturyTel will indemnify, hold harmless and defend the City and its employees, agents, officers and servants from any and all lawsuits, claims, demands and causes of action of any kInd arising from the negligent or intentional acts or omissions of CenturyTel, its officers, employees or agents. This will include, but not be limited to, the amounts of judgments, penalties, Interest, court costs, reasonable legal fees, and all other expenses incurred by the City arising in favor of any party, including the amounts of any damages or awards resulting from claims demands and causes of action for personal injuries, death or damages to property. This obligation by Centurytel will not be limited by reason of the specification of any particular insurance coverage in this Agreement. 9.2 CenturyTel will procure and maintain at its expense insurance with insurance companies authorized to do business in the State of Texas, covering all operations under this Agreement, whether performed by CenturyTel or CenturyTel's agents, subcontractor or employees. Before commencing the work CenturyTel will furnish to the City a certificate or certificates in form satisfactory to the City, showing that CenturyTel has complied with this paragraph. All certificates will provide that the policy will not be changed or canceled until at least 30 days written notice will have been given to the City, and will name the City as an additional insured on all coverages except workers' compensation and professional liability. The kInds and amounts of insurance required are as follows: Workers' Compensation Insurance: In accordance with the provisions of the Workers' Compensation Act of the State of Texas. Liabilitv Insurance: (1) Commercial general liability insurance with a combined single limit of $500,000 for each occurrence and $500,000.00 in the aggregate, (2) Motor Vehicle Telecommunications Services 6
