<br />82. <br /> <br />Data-Processing Consulting Agreement <br /> <br />This Agreement is made effective as of January 12, 1999, by and between The City <br />Of San Marcos, of 630 East Hopkins St., San Marcos, Texas 78666, and Source <br />Computing Incorporated, of 104 River Wood Dr., Fort Mill, South Carolina 29715. <br /> <br />In this Agreement, the party who is contracting to receive services shall be referred to as <br />"The City of San Marcos", and the party who will be providing the services shall be <br />referred to as "SCI". <br /> <br />SCI has a background in computer systems consulting and is willing to provide services <br />to The City of San Marcos based on this background. <br /> <br />The City of San Marcos desires to have services provided by SCI. <br /> <br />Therefore, the parties agree as follows: <br /> <br />1. DESCRIPTION OF SERVICES. Beginning on January 12, 1999, SCI will <br />provide the following services (collectively, the "Services"): Conversion of Utility <br />Billing System source code and database from 2-digit year calculations to 4-digit year <br />calculations. This will include testing of the system to assure proper operation and <br />function of the modified source code. <br /> <br />2. PERFORMANCE OF SERVICES. The manner in which the Services are to be <br />performed and the specific hours to be worked by SCI shall be determined by SCl The <br />City of San Marcos will rely on SCI to work as many hours as may be reasonably <br />necessary, with an estimated maximum of 1400 hours, to fulfill SCl's obligations under <br />this Agreement. <br /> <br />3. PAYMENT. The City of San Marcos will pay a fee to SCI for the Services based on <br />$90.00 per hours. This fee shall be payable monthly, no later than 30 days after receipt of <br />the invoice for the month following the period during which the Services were <br />performed. Upon termination of this Agreement, payments under this paragraph shall <br />cease; provided, however, that SCI shall be entitled to payments for periods or partial <br />periods that occurred prior to the date of termination and for which SCI has not yet been <br />paid. <br /> <br />4. EXPENSE REIMBURSEMENT. SCI shall be entitled to reimbursement from The <br />City of San Marcos for all "out-of-pocket" expenses. <br /> <br />5. NEW PROJECT APPROVAL. SCI and The City of San Marcos recognize that <br />SCl's Services will include working on various projects for The City of San Marcos. SCI <br />shall obtain the approval of The City of San Marcos prior to the commencement of a new <br />project. <br />
