ARTICLE III <br />CONDITIONS TO CLOSING <br />Section 3.1. Conditions. The contribution of the Authority Payment and the subsequent <br />closing of the purchase of the Property by the City shall be subject to (i) the prior written <br />approval of the Authority to the condition of title to the Property (as set forth in the Agreement <br />Of Sale); (ii) the prior written approval of the Authority to the Survey of the property (as set <br />forth in the Agreement Of Sale); (iii) such other matters as the Authority may reasonably require; <br />and (iv) the reasonable satisfaction of the City that all of the terms and conditions of the <br />Agreement Of Sale have been satisfied. If, in the reasonable opinion of the Authority or the <br />City, these conditions of closing are not met, then prior to the closing of the purchase of the <br />Property the Authority or the City may, by written notice to the other, terminate this Agreement <br />and the Authority Contribution will be repaid, in full, to the Authority, and the Authority and the <br />City shall have no further obligation or duty hereunder. <br />ARTICLE IV <br />NOTICES <br />Section 4.1. Notices to the Authority. All notices or communications under this <br />Agreement to be mailed or delivered to the Authority shall be in writing and shall be sent to the <br />Authority's principal place of business as follows, unless and until the City is otherwise notified: <br />EDWARDS AQUIFER AUTHORITY <br />1615 N. All notices or communications under this Agreement to <br />be mailed or delivered to the City shall be in writing and shall be sent to the address of the City <br />as follows, unless and until the Authority is otherwise notified: <br />CITY OF SAN MARCOS <br />630 East Hopkins Street <br />San Marcos, Texas 78666 <br />ATTENTION: RICHARD SALMON, City Grants Office <br />Section 4.3. Effective Date of Notice.
