Texas Water Development Board ("TWDB '')- The state agency which administers state law regarding water resources including groundwater. Section 2. Operation of the Management Council The Management Council shall meet from time to time as necessary to implement these ROPES and the Interlocal Agreement. A quorum of the Management Council shall be required for all Council actions. A quorum shall be three (3) Council members. A majority vote of three (3) Council members shall be required for all Council actions. Should the Management Council require administrative support, it shall be the responsibility of the Administrator and Agent to provide such support. Section 3. Chairman of Management Council The members of the Management Council shall elect one of their members as Chairman. The Chairman shall be empowered to call meetings of the Management Council as necessary and shall act as the primary public spokesman for the R WRDG. Section 4. Election of Management Council The Management Council shall be elected at the first meeting of the R WRDG participants after the minimum ten (10) participants have enrolled as required by Section 3.1 of the Interlocal Agreement and subsequent elections shall be held at four-year intervals. Membership in the Management Council shall be on an individual basis. Should a member of the Management Council no longer be willing or able to serve, a new Management Council member representing the same constituency will be elected by the RWRDG participants at their next general meeting pursuant to the procedures set forth at Section 3.1 of the Interlocal Agreement. A Management Council member elected pursuant to this provision will serve out the remainder of the unexpired term and shall be eligible for reelection Section 5. Amendment of ROPES The Management Council shall have the power to amend these ROPES. Should the Management Council determine that amendment of the ROPES is necessary, the Management Council shall communicate proposed amendments to the Administrator, which shall notify all R WRDG participants in writing of the amendments at least thirty (30) days prior to the Management Council's acting on the amendment. Section 6. Semiannual Determination of Target Prices for Edwards Aquifer Groundwater Withdrawal Rights Acquisition Strategy Categories Agent shall be responsible for continually advising the Management Council as to market conditions so as to permit the Management Council to make informed pricing decisions and to react to changing market conditions.
