Now, THEREFORE, in consideration of the mutual covenants and conditions contained in this <br />Agreement and other good and valuable consideration, the receipt and sufficiency of which are hereby <br />acknowledged, the Parties agree to the following terms, covenants, and conditions: <br />ARTICLE 1— Creation of Pedestrian — Transit Access Master Plan. <br />San Marcos has retained the services of The Goodman Corporation ( "TGC ") to assist San Marcos, Kyle, <br />and the University with the creation and administration of the new Urban Transit District, and San <br />Marcos with the creation of a Pedestrian — Transit access Master Plans (Plan) that would qualify <br />substantial streetscape, sidewalks, landscaping, lighting, parking structures, and other infrastructure for <br />federal eligibility and participation. Should Kyle desire to extend the Pedestrian —Transit access plans to <br />protect the value of their federally eligible infrastructure, then they agree to pay their fair share of <br />professional services related to same. <br />ARTICLE 2 — Creation of Urban Transit District. <br />The Parties will work together, along with other stakeholders, toward the creation of an Urban Transit <br />District, pursuant to Chapter 458 of the Texas Transportation Code, which will enable and facilitate the <br />expansion of the University's existing student oriented system to encompass the general public. <br />ARTICLE 3 — Federal, State, and Local Reporting Requirements. <br />The Parties agree to comply with all federal, state, regional, and local reporting requirements related to <br />the utilization of federal and state transit resources to support public transit services and capital <br />improvements for the greater San Marcos /Kyle urbanized area. <br />ARTICLE 4 — Federal, State, and Local Requirements For Use of Resources. <br />The Parties will comply with all federal, state and regional requirements related to the utilization of <br />federal and state transit resources to support public transit services and capital improvements for the <br />greater San Marcos /Kyle urbanized area. <br />ARTICLE 5— SECTARIAN AND POLITICAL INVOLVEMENT PROHIBITED <br />The Parties agree that no funds resulting from this Agreement will be used, either directly or indirectly, <br />in the support of any religious or anti - religious activity, worship, or institution. Furthermore, no portion <br />of the funds received hereunder shall be used, either directly or indirectly, for any political activity <br />including, but not limited to, an activity to further the election or defeat of any candidate for public <br />office or for any activity undertaken to influence the passage, defeat or final content of state or federal <br />legislation. <br />ARTICLE 6 - TERM OF AGREEMENT <br />This Agreement will terminate after an initial thirty -six (36) month period. However, the agreement may <br />be extended through mutual written agreement by the Parties for a period of up to an additional thirty - <br />six (36) months. <br />2 <br />
