TX 75062 <br /> <br />Re: Lease-Purchase Agreement );0. 31473 (the "Lease"') between the Lessee and the Lessor <br />dated March 9. 1999 <br /> <br />To whom it may concern: <br /> <br />With respect to the Lease, it is my opinion that: <br /> <br />1. The Lessee is a political subdivision of the State of Texas (the "State") duly organized, existing <br />and operating under the Constitution and laws of the State. <br /> <br />2. The Lessee has full power and authority under State law to enter into the Lease, and to perform <br />all of its obligations thereunder. <br /> <br />3. The Lessee's City Manager has been duly authorized to execute and deliver the Lease. <br /> <br />-l-. The Lease has been duly authorized. approwd and executed by and on behalfofthe Lessee. and <br />upon execution by the Lessor, the Lease \\ill be a valid and binding contract of the Lessee <br />enforceable in accordance with its terms, except to the extent limited by State and Federal laws <br />affecting creditor's remedies and by bankruptcy, reorganization or other laws of general application <br />relating to or affecting the enforcement of creditors' rights. <br /> <br />5. The authorization, approval and execution of the Lease and all other proceedings of the Lessee <br />relating to the transactions contemplated thereby have been performed in accordance v,.ith all <br />applicable Local, State and Federal laws (including open meeting laws and public procUrement and <br />property acquisition laws). <br /> <br />6. To the best of my knowledge, there is no litigation or proceeding pending before any court. <br />administrative agency or governmental body, that challenges: the organization or existence of the <br />Lessee; the authority of its officers; the proper authorization, approval and execution of any of the <br />Leases or any documents relating thereto; the appropriation of monies to make pa)ments under the <br /> <br />City Hall · 6.30 East Hopkins · San ~1arcos.
