<br />PARTICIPANT QUALIFICATIONS: <br /> <br />Provider has the right to license the TEXASWI$E™ marketing program to any <br />company or utility in Texas. There are two types of licenses Provider may issue: <br />(Type-1) license to an electric service wholesale customer of Provider; and <br />(Type-2) utilities and other businesses that are not wholesale customers of <br />LCRA. Under this Agreement, Participant is a Type-1 licensee. A Type-1 <br />licensee has the right to use the TEXASWI$E™ mark, in accordance with the <br />terms of this Agreement, to promote and implement any energy service the <br />Participant is authorized to offer the public. Provider must approve any use of <br />the TEXASWI$E™ mark, as provided in this Agreement. <br /> <br />Type-2 license agreements shall be negotiated on a case-by-case basis. A <br />Type-1 licensee that ceases to be an electric service wholesale customer of <br />Provider must negotiate a new agreement with Provider to become a Type-2 <br />licensee, and Provider will negotiate in good faith to seek a new agreement to <br />continue Participant's participation in TEXASWI$E™ programs. <br /> <br />REVIEW AND CHANGES TO PROGRAM: <br /> <br />TEXASWI$E™ is a program designed to meet the needs of its Participants, and <br />the Program is driven by Participant input. New TEXASWI$E™ programs may be <br />initiated by Provider based on participating customers' requests. New programs <br />will be reviewed semi-annually. The review may include individual meetings with <br />each Participant and regional meetings of Participant groups. To the extent <br />possible, the meeting schedule will be staggered so that a review of portions of <br />the Program will occur every quarter. <br /> <br />Provider shall provide a TEXASWI$E™ status report semi-annually to the board <br />of the Association of Wholesale Customers (AWC) of the Lower Colorado River <br />Authority. <br /> <br />LIMITATION ON USE OF ENERGY SERVICES ACCOUNT: <br /> <br />For Program Services to be eligible for Energy Services Account expenditures, <br />the subject services must be directly related to energy efficiency and energy <br />conservation. <br /> <br />USE OF TEXASWI$E™ TRADEMARK: <br /> <br />Participant may use the TEXASWI$E™ trademark (Mark) to promote programs <br />under this agreement; provided that Participant shall abide by the terms and <br />conditions of the "Trademark License Terms" attached as Attachment Band <br />incorporated herein as if reproduced in full. Participant may be authorized by <br />Provider to use the Mark for utility services not related to LCRA Energy Services <br /> <br />TEXASWI$E PARTICIPATION AGREEMENT <br /> <br />PAGE 3 of6 <br />
