<br />ATTACHMENT B <br /> <br />TRADEMARK LICENSE AGREEMENT TERMS <br /> <br />THIS AGREEMENT is a part of the TEXASWI$E™ PARTICIPATION <br />AGREEMENT ("Agreement"), by and between the Lower Colorado River <br />Authority ("Provider" or "Licensor"), and City of San Marcos Electric Department <br />("Participant" or "Licensee"). <br /> <br />WHEREAS, Licensor is a wholesale electric utility provider created by the <br />Texas Legislature for providing water and electrical services to all or part of 58 <br />counties in Central Texas; <br /> <br />WHEREAS, Licensor has created the Trademark & Design for <br />TEXASWI$E™ (Exhibit 1) to support the marketing efforts of its wholesale electric <br />customers to promote energy efficiency and to retain their retail customers <br />through marketing and value added services; <br /> <br />WHEREAS, Licensee is planning to offer materials and services to its <br />retail customers, and non-profit and other governmental entities I that will <br />encourage energy efficiency and participation in TEXASWI$E™ programs; <br /> <br />WHEREAS, Licensor is the owner of the registered Texas Trademark or <br />Service Mark Numbers 57304 and 57587 for the mark ''TEXASWI$E™'' and <br />TEXASWI$E™ Logo Design (the "Mark"); and <br /> <br />WHEREAS, Licensee is desirous of using the Mark in connection with its <br />business; <br /> <br />NOW THEREFORE, for good and valuable consideration, the sufficiency <br />of which is hereby acknowledged, Licensor and Licensee agree as follows: <br /> <br />I. GRANT TERM <br /> <br />A. Grant. Licensor grants to Licensee a royalty-free, non-exclusive, <br />revocable license to use the Mark in connection with materials and services <br />relating to energy efficiency, to market its services to its customers, and to <br />communicate with its retail customers, its employees, vendors, and other <br />entities (the "Services") within the State of Texas within the area served by <br />Participant's distribution system. <br /> <br />Authorization by Licensor is required for each specific usel which shall be <br />granted or denied, in writing, with exceptions noted by Licensor upon review and <br />approval within two (2) business days of receipt of request from Licensee; <br />provided that if Licensee proposes a use of the Mark for utility services not <br />related to LCRA energy service programs, Licensor shall have up to thirty (30) <br /> <br />TEXASWI$E PARTICIPATION AGREEMENT <br /> <br />ATTACHMENT B <br /> <br />PAGE 10f4 <br />
