<br />20.1 Lessor has entered into this Lease upon the condition that Lessee shall <br />punctually and faithfully perform all of the Lessee's covenants, conditions and <br />agreements. Each of the following acts or omissions of Lessee or occurrences shall <br />constitute an "Event of Default": <br />(a) failure of Lessee to timely pay any installment of Rent or any other <br />sum due hereunder;; <br />(b) failure of Lessee to open for business within thirty (30) days after the <br />Premises are ready for occupancy or within such other period as may be prescribed; <br /> <br />(c) failure of Lessee thereafter to continuously operate its business in accordance with <br />the terms of this Lease; <br />(d) omitted <br />(e) the vacation or abandonment of the Premises by Lessee; <br />(f) failure of Lessee to timely observe or perform any other covenant, <br />term or condition set forth in this Lease and such failure continues for a period of ten <br />(10) business days from the date of written notice thereof from Lessor to Lessee (or if <br />such failure cannot reasonably be cured within ten business (10) days, failure of <br />Lessee to commence to cure within such ten business(10) days or failure thereafter to <br />diligently and continuously prosecute the curing of such failure until completion); <br />(g) Lessee or any Guarantor shall generally not pay its debts as they <br />become due or shall admit in writing its inability to pay its debts, or shall make a <br />general assignment for the benefit of creditors; or Lessee or any Guarantor shall <br />commence any case, proceeding or other action seeking to have an order for relief <br />entered on its behalf as debtor or to adjudicate it as bankrupt or insolvent, or seeking <br />reorganization, arrangement, adjustment, liquidation, dissolution or composition of it or <br />its debts under any law relating to bankruptcy, insolvency, reorganization or relief of <br />debtors, or seeking appointment of a receiver, trustee, custodian or other similar official <br />for it or for all or any substantial part of its property; or Lessee or any Guarantor shall <br />take any corporate action to authorize, or in contemplation of, any of the actions set <br />forth above in this subsection (g); or <br />(h) any case, proceeding or other action against the Lessee or any <br />Guarantor shall be commenced seeking to have an order for relief entered against it as <br />debtor or adjudicated as bankrupt or insolvent, or seeking reorganization, arrangement, <br />adjustment, liquidation, dissolution or composition of it or its debts under any law <br />relating to bankruptcy, insolvency, reorganization or relief of debtors, or seeking <br />appointment of a receiver, trustee, custodian or other similar official for it or for all or <br />any substantial part of its property. <br /> <br />20.2 Upon the occurrence of any Event of Default, Lessor shall have the option to <br />pursue anyone or more of the following remedies, in addition to all other rights and <br />remedies given here-under or by law or equity, with (5)business days notice on <br />monetary defaults and (10) business days on non-monetary defaults: <br /> <br />(a) Terminate this Lease, in which event Lessee shall immediately <br />surrender possession of the Premises to Lessor; <br />(b) Enter upon and take possession of the Premises and expel or <br />remove Lessee and any other occupant therefrom, with or without having terminated <br />the Lease; or <br />(c) Alter locks and other security devices at the Premises. <br /> <br />Exercise by Lessor of anyone or more remedies hereunder granted or otherwise <br />available shall not be deemed to be an acceptance of surrender of the Premises by <br />Lessee, whether by agreement or by operation of law, it being understood that such <br />surrender can be effected only by the written agreement of Lessor and Lessee. <br /> <br />Upon the occurrence of an Event of Default, Lessor shall not be obligated to give any <br />notice (written or oral) regarding alteration of locks or other security devices at the <br /> <br />11 Lessee f6 <br />Lessor tLW <br />
