<br />VDL 228r~tf 242 <br /> <br />182. <br /> <br />000025 <br /> <br />AMENDMENT NUMBER TWO TO LEASE OF AIRPORT <br />PROPERTY/BUILDINGS BETWEEN <br />KERNER AIR SERVICES, INC. <br />AND THE CITY OF SAN MARCOS, TEXAS <br /> <br />STATE OF TEXAS ~ <br />~ <br />COUNTY OF HAYS AND CALDWELL ~ <br /> <br />The City of San Marcos, Texas, a municipal corporation organized and existing <br />under the laws of the State of Texas ("Lessor") and Kerner Air Services, Inc. ("Lessee"), <br />agree to amend their lease agreement entered into on September 15, 1998 as amended <br />by Amendment One on March 22,1999. <br /> <br />1. Lessor and Lessee agree to an amendment of Paragraph 1.01 of the Lease, as <br />amended, to read as follows: <br /> <br />1.01 In consideration of the obligation of the Lessee to Pay rent and in <br />consideration of the other terms, covenants and conditions of this Lease, the <br />Lessor leases to the Lessee and the Lessee leases from the Lessor, the four <br />tracts of real property (the "Leased Premises") in Caldwell County, Texas, <br />described in Exhibit A as Parcel "A," Parcel "B," Parcel "c" and Parcel "D" <br />attached to and made a part of this Lease for all purposes. <br /> <br />2. Lessor and Lessee agree to the amendment of Paragraphs 2.02 and 2.03 of the <br />Lease, as amended, to read as follows: <br /> <br />2.02. The Lessee agrees to pay to the Lessor a fixed rental in the sum of <br />$.10 per square foot per year for the entire area of the Leased Premises. <br />The annual amount for the fixed rental shall be paid in equal monthly <br />installments in the amount of $ 361.20, which shall be due and payable on <br />the last day of each month for the succeeding month. The Lessee, at its <br />option, may make advance payments of up to one year's fixed rentals, but <br />there will be no discount for these payments. <br /> <br />2.03 Lessee will construct four enclosed T-Hangar buildings (the <br />"hangars"), one on each of the four tracts comprising the Leased Premises. <br />The Lessee warrants that it will invest a minimum of $200,000.00 in these <br />capital improvements. <br /> <br />In all other respects, except as modified, the terms and provisions of the original <br />lease, as amended, shall remain in full force and effect.
