LICENSE AGREEMENT <br />Date: June 19, 2012 <br />Licensor: City of San Marcos, 630 E. Hopkins Street, San Marcos, Hays County, Texas 78666 <br />Licensee: Campus Christian Community, a Texas non - profit corporation, 510 North Guadalupe <br />Street, San Marcos, Hays County, Texas 78666. <br />License Area: The area of the right -of -way of Woods Street, as more fully depicted on the <br />drawing attached as Exhibit "A." <br />I. RECITALS <br />A. Licensor and Licensee have been parties to a parking agreement providing for <br />exclusive use of the parking spaces by Licensee along Woods Street between North LBJ and <br />Guadalupe Street. Half the length of the parking spaces was comprised of public right -of -way <br />owned by Licensor and the remaining half of the length was owned by Licensee. <br />B. Licensor seeks to enhance public improvements along Woods Street, the plans for <br />which would include improvements to the portions of the parking spaces owned by Licensee. <br />C. Licensee wishes to enable such improvements by dedicating the portions of the <br />parking spaces it owns to the Licensor in exchange for a license agreement providing Licensee with <br />the exclusive right to park in such spaces. <br />In consideration of the foregoing and the mutual benefits and obligations herein, the parties <br />agree as set forth below. <br />II. GRANT OF LICENSE; TERMS AND CONDITIONS <br />A. Dedication of Public Right -of -Way. Licensee will deliver to Licensor a deed in the <br />form shown in Exhibit `B," attached hereto and made a part hereof. This agreement shall be <br />effective as of the date such deed is recorded by Licensor in the Official Public Records of Hays <br />County, Texas. <br />B. License for Vehicular Parking. Licensor grants an exclusive license to Licensee for <br />the purpose of parking motor vehicles in the License Area in connection with the activities of <br />Licensee at its adjacent facilities at 510 North Guadalupe Street. <br />C. Right -of -Way and Parking Improvements. The Licensor or its authorized agents <br />and contractors, will initially construct all improvements within the License Area subject to <br />applicable City of San Marcos standards as determined in Licensor's sole discretion. As part of the <br />initial installation of improvements in the License Area, Licensor will provide for up to eight <br />standard vehicle parking spaces, together with appropriate markings and striping. <br />1 <br />
