<br />The above language shall be set forth in the Deed and Bill of Sale. <br /> <br />12. REAL ESTATE COMMISSIONS. Seller and Buyer represent and warrant to each other <br />that they have dealt with no broker, finder or similar agent in connection with the transaction <br />provided for in this Agreement. Seller agrees to hold Buyer harmless from and against any claim <br />made by any person claiming to have dealt with Seller in connection with this transaction, including <br />reasonable attorney's fees incurred in the defense of such a claim; and Buyer agrees to hold Seller <br />harmless from and against any claim made by any person claiming to have dealt with Buyer in <br />connection with this transaction, including reasonable attorney's fees incurred in the defense of <br />such a claim. Buyer acknowledges that it has been advised by Seller that it should have an abstract <br />covering the Property examined by an attorney of its selection, or should be furnished with or <br />obtain a policy of title insurance. <br /> <br />13. NOTICE. Any notice required or permitted to be given hereunder by one party to the <br />other shall be in writing and the same shall be given and shall be deemed to have been served and <br />given if delivered in person or be reputable courier service or by facsimile transmission to the <br />address set forth hereinafter for the party to whom the notice is given, or placed in the United States <br />mail, postage prepaid, by registered or certified mail, addressed to the party at the address <br />hereinafter specified. TERMINATION. If closing does not occur on or before May 16, 2008, due to Buyer's <br />inability to obtain full funding for its acquisition of the Property or due to Buyer's default <br />hereunder, Seller may terminate this Agreement.
