Withdrawing R WRDG participants shall be liable for any orders placed with the Administrator for Edwards Aquifer groundwater which are pending when the withdrawal notice is received by the Administrator and fulfilled in whole or in part by R WRDG acquisitions during the calendar quarter in which withdrawal notice is made. Withdrawing R WRDG participants agree to maintain any confidential information to which they become privy while and by virtue of being a R WRDG participant as confidential, and agree not to acquire Edwards Aquifer groundwater rights from any third party from whom the R WRDG is negotiating bona fide pending offers for the acquisition of rights for a period of twelve (12) months after the effective date of the R WRDG participants withdrawal. Section 3. Management Council Section 3.1 Composition of Management Council The Management Council shall consist of five designated representatives of RWRDG participants elected by a majority vote of the R WRDG participants in each of the following classes of R WRDG participants. (a) one (1) representative of the class of RWRDG participants consisting of all non- municipal purveyors; (b) one (1) representative of the class of R WRDG participants consIstmg of all municipal purveyors (i. e. purveyors owned and operated by a city) with annual use greater than 5,000 acre feet and all governmental agency or entity or non-purveyor users; (c) one (1) representative of the class of RWRDG participants consisting of all municipal purveyors with annual use less than 5,000 acre feet; (d) two (2) additional representatives of either: (i) the class consIstmg of all municipal purveyors with annual use less than 5,000 acre feet, or (ii) the class consisting of all non-municipal purveyors; the first additional representative shall represent and be selected by whichever of the two classes includes the larger number of R WRDG participants as of the date of the initial election of the Management Council, and the second additional representative shall represent and be elected by the other class unless the larger of the two classes is larger by a factor of two to one at the time of the election, in which case the larger class shall select both additional representatives. Section 3.2 Powers and Duties of the Management Council The Management Council shall have the following enumerated duties and powers: (a) serve four-year terms, but shall be eligible for reelection; (b) oversee the activities of the Agent; 3
