I I I AMENDMENT NUMBER TWO TO LEASE AGREEMENT BETWEEN HAYS-CALDWELL WOMEN'S CENTER. INC. AND THE CITY OF SAN MARCOS STATE OF TEXAS COUNTY OF HAYS The City of San Marcos, Texas, a Texas municipal corporation (the "Lessor"), and Hays- Caldwell Women's Center, Inc. (the "Lessee"), agree to amend the lease agreement (the "Lease") entered into originally on March 14, 1983. In consideration of the mutual covenants contained in this amendment, the Lessor and the Lessee agree to amend the Lease as follows: 1. Lessor and Lessee agree to amend the second unnumbered paragraph, which immediately follows the sub-heading "Witnesseth:" to read as follows: Lessor, for and in consideration of the rental hereinafter specified to be paid by Lessee, and the covenants and agreements hereinafter contained, by Lessee to be kept and performed, and for the further consideration of the construction by Lessee of certain improvements to the premises, said improvements to remain and be surrendered with the premises, has leased to Lessee those certain premises in the City of San Marcos, County of Hays, State of Texas, being a 4.34 acre parcel of land in the J.M. Veramendi Survey NO.2 and being more particularly described in Exhibit "A", which is attached hereto and incorporated into this lease agreement. Lessee shall have and hold said parcel, described fully in Exhibit "A", on the following terms and conditions: 2. Lessor and Lessee agree that the Exhibit "An attached to this Amendment is substituted for the Exhibit "A" attached to the original lease agreement. 3. The terms and provisions of the original lease, dated March 14, 1983, shall remain in full force and effect, except as specifically modified in this Amendment. This Amendment shall have the same for and effect as if incorporated in the original lease agreement. EXECUTED on December 12, 2006.
