9.16 Entire Agreement. This Agreement constitutes the entire agreement between the Parties <br />hereto with respect to the subject matter hereof and supercedes ali prior and contemporaneous <br />agreements, understandings, negotiations and discussions, whether oral or written, of the Parties. No <br />supplement or modification of this Agreement shall be binding unless executed in writing by both <br />Parties. An amendment to this Agreement that increases the compensation to Harris by more than <br />$25,000 requires the approval of San Marcos' City Council. <br /> <br />9.17 Governing Law and Venue. This Agreement shall be governed by the laws of the State of <br />Texas. This Agreement is to be performed in Hays County, Texas, and exclusive venue for any legal <br />dispute arising under this Agreement shall be in Hays County, Texas. <br /> <br />9.18 Counterparts.
