<br />BYLAWS <br /> <br />OF <br /> <br />HAYS CALDWELL PUBLIC UTILITY AGENCY <br /> <br />ARTICLE I <br />OFFICES <br /> <br />Section 1.1 Principal Office. The principal office of the Hays Caldwell Public Utility <br />Agency (the "Agency") in the State of Texas (the "State") shall be located at Kyle City Hall, Kyle, <br />Texas 78640. The Agency may have such other offices, either in Texas or elsewhere, as the Board <br />of Directors may determine. The Board of Directors may change the location of any office of the <br />Agency. <br /> <br />Section 1.2 Registered Office and Registered Agent. The Agency shall comply with the <br />requirernents of Chapter 422, Texas Local Governrnent Code, as arnended (the "Act"), and shall <br />maintain a registered office and registered agent in Texas. The registered office may, but need not, <br />be identical with the Agency's principal office in Texas. The Board of Directors rnay change the <br />registered office and the registered agent. <br /> <br />ARTICLE II <br />NO MEMBERS <br /> <br />Section 2.1 <br /> <br />No Members. The Agency shall have no mernbers. <br /> <br />ARTICLE III <br />PURPOSES <br /> <br />Section 3.1 The Agency is organized and will be operated exclusively for the purposes set <br />forth in the Act. The Agency is organized for the purpose of aiding, assisting, and acting as a <br />separate agency, political subdivision of the State of Texas and political entity and corporate body in <br />accordance with the Act, as created by concurrent ordinances adopted by the cities of San Marcos <br />(herein "San Marcos"), Kyle (herein "Kyle"), and Buda (herein "Buda"), and the Canyon Regional <br />Water Authority (herein "CRW A") [individually a "Sponsor" and collectively the "Sponsors"] to <br />(i) achieve econornies of scale in providing essential water and sewage systems to the public, <br />(ii) promote the orderly economic development of the State, and (iii) provide environmentally sound <br />protection of the State's future water and wastewater needs. <br /> <br />Section 3.2 The Agency is a public utility agency pursuant to the Act and is authorized to <br />exercise all powers privileges and rights conferred on a public utility agency by the Act, and all <br />powers and rights incidental in carrying out the purposes for which the Agency is formed. <br /> <br />Section 3.3 The Agency shall have and exercise all ofthe rights, powers, privileges, and <br />functions given by the general laws of Texas to a public utility agency created pursuant to the Act. <br /> <br />Section 3.4 The Agency shall have all other powers of a like or different nature not <br />prohibited by law which are available to political subdivisions in Texas and which are necessary or <br />useful to enable the Agency to perform the purposes for which it is created, including the power to <br /> <br />I <br /> <br />I <br /> <br />I <br />
