Bond Counsel Services All such agreements will be subject to approval by the Agency Board. The Parties agree that the scope of the services to be provided under the Staff Services, General Counsel Services and Engmeering Services agreements, and the estimated cost for those services, will be detailed in the agreements, and that the estimated cost for the services will generally conform to the table labeled "Budget for Fiscal Year 2006-2007" included on Attachment A to this Agreement. The Parties agree that the Financial Advisor Services and Bond Counsel ServIces agreements may be general and ongoing in nature; however, the fees for services under those agreements WIll be payable solely from the proceeds of bond obligations issued by the Agency. Section 1.2. Coordination of Services. The Agency agrees to coordinate and oversee the provision of services rendered to the Agency under Section 1.1 above, to proVIde mformation to the City and the other Sponsors through the Agency Board and the Executive CommIttee of the Agency Board (the "Executive Committee"), and to seek input, recommendations and deCIsions from the City and the other Sponsors through the Agency Board and Executive Committee at regular and special meetings. Section 1.3. Payments for Services. The Agency agrees to provide a monthly report to the City and the other Sponsors at the Agency Board meeting detailing the amounts due for services rendered to the Agency under SectiOn 1.1 above, and a calculation of the portion of those amounts to be paid by the Agency from contribution payments made by each of the Sponsors. Subject to tImely contribution payments to the Agency by the City and the other Sponsors under Section 2.1 below, the Agency agrees to make timely payments for services rendered to the Agency under Section 1.1 above in accordance with the agreements for those servIces. Section 1.4. Reimbursement from Proceeds of Bond Obligations. The Agency agrees that if it issues bond obligations, the Agency will include m the amounts of such obligations the cost of services incurred by the Agency under this Agreement to the extent allowed under applicable law. The Agency agrees that upon the issuance of bond obligations whIch include the cost of services incurred by the Agency under this Agreement, the Agency wlll reimburse the City and the other Sponsors for those costs in proportion to the amounts paid by each of the Sponsors towards those costs within 30 days of the receipt by the Agency of the proceeds of the Issuance. 2
