<br /> Additional Participant and Attachments A, B, C, and D to the Interlocal Agreement shall not apply <br /> to Additional Participant. Should the Provider offer Trunked Radio System service fees to a user <br /> having a substantially equal number ofradios in use (defined as plus or minus 10% of the number of <br /> radios in use by Additional Participant) at rates lower than those described in Attachment A, <br /> Additional Participant shall be offered comparable rates, subject to the laws of the State of Texas <br /> governing Provider. <br /> 4. RIGHT TO EXPAND. <br /> 4.1 As provided in the Interlocal Agreement, Provider may expand the services or the area <br /> for the Trunked Radio System by entering into agreements with Participant, Additional Participant <br /> or third parties. Such expansion shall not increase the cost of service to any Participant or Additional <br /> Participant during the initial three (3) year term of the Interlocal Agreement, increase the cost of <br /> service to additional Participant under this Additional Participant under this Additional Interlocal <br /> Participant Agreement nor diminish the capability to use the Trunked Radio System as agreed to be <br /> provided by Provider in any agreement to provide such services. <br /> 5. DEFAULT, REMEDIES. <br /> 5.1 In the event of default by Additional Participant, as the term default is used in the <br /> Interlocal Agreement, Provider shall have the remedies provided in the Interlocal Agreement and shall <br /> also have the right to terminate Additional Participant's participation III the <br /> Interlocal Agreement or suspend Additional Participant's participation in the Interlocal Agreement <br /> without terminating or otherwise affecting the Interlocal Agreement and the other parties to the <br /> Interlocal Agreement. <br /> 6. RIGHT TO PURCHASE CERTAIN EQUIPMENT. <br /> 6.1 In the event Provider sells all or substantially all of its Trunked Radio System to a <br /> third party not affiliated with Provider, Additional Participant shall have the right to purchase the <br /> radio transmitter equipment installed at the tower site located within Additional Participant's city <br /> limits. The purchase price shall be the greater of the depreciated value as shown on the books of <br /> account of Provider or the current fair market value as of the time of sale. This right to purchase shall <br /> be exercised by Additional Participant giving Provider notice of exercise of this right within fifteen <br /> (15) days after Provider gives notice to Additional Participant that the Trunked Radio System will <br /> be sold to a nonaffiliated third party. Payment of the purchase price and conveyance of the equipment <br /> by bill of sale, without warranty, expressed or implied, shall occur within fifteen (15) days after the <br /> giving of notice by Additional Participant to Provider. <br /> 3 <br /> LoWER COWRADO RIvER AurnoRTIY <br />
