<br /> Article 16 Dispute Resolution <br /> <br /> Disputes under this Contract shall first be addressed by good faith efforts between the parties. <br /> CAPCO's position shall first be reduced to writing and served upon the SUBCONTRACTOR. <br /> SUBCONTRACTOR shall respond to CAPCO's notice within thirty (30) days. Issues unresolved <br /> between the parties thereafter shall be submitted to mediation; if unresolved, to arbitration by <br /> Contract of the parties. <br /> Article 17 Oral and Written Contracts <br /> All oral or written agreements between the parties hereto relating to the subject matter of this <br /> Contract which were developed and executed prior to the execution of this Contract have been <br /> reduced to writing and are contained herein. <br /> Article 18 Americans with'Disabilities Act (ADA) <br /> <br /> The SUBCONTRACTOR shall comply with all applicable requirements of the Americans <br /> with Disabilities Act of 1990, 42 U.S.C. §§ 12101- 12213 (Pam ph 1995). <br /> Article 19 Utilization of Small, Minority, and Women's Business Enterprises <br /> <br /> (a). A Historically Underutilized Business (HUB) is a Corporation, Sole Proprietorship, <br /> Partnership, or Joint Venture in which as least 51 percent is owned, operated, controlled and <br /> actively managed by a person or persons who are historically underutilized (socially <br /> disadvantaged) because of their identification with members of certain groups, including Black <br /> Americans, Hispanic Americans, Asian Pacific Americans, Native Americans (American Indians) <br /> and Women who suffered the effects of discriminatory practices or similar insidious <br /> circumstances over which they have no control. <br /> (b). The SUBCONTRACTOR agrees that qualified Historically Underutilized Businesses <br /> (HUBs) shall have the maximum practicable opportunity to participate in the performance of this <br /> Contract. <br /> Article 20 Force Majeure <br /> <br /> To the extent that either party to this Contract shall be wholly or partially prevented from the <br /> perfonnance within the tenn specified of any obligation or duty placed on such party by reason of <br /> or through strikes, stoppage of labor, riot, fire, flood, acts of war, insurrection, accident, order of <br /> any court, act of God, or specific cause reasonably beyond the parties' control and not attributable <br /> to its neglect or nonfeasance, in such event, the time for the perfonnance of such obligation or <br /> duty shall be suspended until such disability to perfonn is removed. <br /> Capital Area Planning Council <br /> FY 1998 Solid Waste Contract 29 <br /> - <br />
